Vice President of Legal Affairs

Position Overview:
The Vice President of Legal Affairs is responsible for overseeing all legal and compliance functions within the organization. This role involves providing strategic counsel to management across various departments, identifying potential risks, and proposing solutions to mitigate those risks. The incumbent will also collaborate with the President on business development and investor relations initiatives.
Key Responsibilities:
- Ensure adherence to securities laws and regulations, including the preparation and submission of reports to regulatory bodies.
- Maintain compliance with other legal and regulatory standards, such as anti-bribery, global trade, data privacy, and healthcare regulations.
- Oversee commercial, employee, and other litigation matters.
- Provide guidance to Human Resources on employee-related disputes.
- Draft, review, and negotiate various contracts and agreements, including commercial and clinical contracts.
- Support significant transactions, including financing, mergers and acquisitions, and distribution agreements.
- Evaluate and manage the organization’s intellectual property portfolio in collaboration with intellectual property counsel.
- Advise the President on corporate governance issues and manage general corporate matters.
- Comply with company policies, procedures, and documentation standards.
- Foster a respectful and courteous workplace environment.
- Perform additional duties as assigned.
Management Responsibilities:
- Ensure a fair and effective hiring process.
- Establish goals, provide clear direction, and monitor progress.
- Offer training, coaching, feedback, and recognition to team members.
- Address employee inquiries and needs promptly.
- Support the career development and aspirations of employees.
- Communicate updates to staff in a timely manner.
- Respond to employee concerns immediately.
- Handle performance and behavioral issues appropriately.
- Serve as a role model for employees throughout the organization.
- Proactively ensure the team meets organizational demands.
Qualifications:
- Education: Juris Doctorate required with admission to the Massachusetts Bar.
- Experience: Minimum of 8 years in a combination of law firm and in-house roles at publicly traded companies, with at least 5 years in a large law firm setting.
- Specific Skills:
- Experience with SEC filings (Proxy, 10-K, 10-Qs, 8-Ks, Form 4s, etc.).
- Strong ability to analyze financial statements.
- Preferred experience in the medical device or life sciences sector.
- Technical Skills: Proficient in Microsoft Excel and PowerPoint.
- Travel: Willingness to travel up to 10%, including both domestic and international travel.
- Language Proficiency: Fluent in English.
