Job Summary

We are seeking a highly skilled and experienced Senior Corporate Counsel to join our team at LeMaitre Vascular. The successful candidate will be responsible for overseeing all legal and compliance matters of the company, advising management on various departments, identifying risks, and offering advice and alternatives to mitigate risks.

Key Responsibilities
  • Compliance and Risk Management
    • Ensure compliance with securities laws and regulations, including drafting and filing reports with the Securities and Exchange Commission (SEC).
    • Ensure compliance with other legal and regulatory requirements, including anti-bribery and anti-corruption, global trade, data privacy, and healthcare.
  • Litigation and Dispute Resolution
    • Manage commercial, employee, and other litigation matters.
    • Advise the Human Resources department on employee disputes.
  • Contract Management
    • Draft, review, and negotiate commercial, clinical, and other contracts and agreements.
  • Transaction Support
    • Support key transactions, including financings, mergers and acquisitions, distribution agreements, and distributor terminations.
  • Intellectual Property Management
    • Assess and manage the company's intellectual property portfolio in conjunction with intellectual property counsel.
  • Corporate Governance and General Corporate Matters
    • Advise the President on corporate governance matters.
    • Manage general corporate matters, including adhering to company policies, procedures, and documentation requirements.

    • Ensure a fair and effective hiring process.

    • Provide training, coaching, feedback, and recognition to team members.

    • Address employee concerns immediately.
    • Address performance and behavior issues appropriately.
    • Serve as a role model to employees across the organization.
    • Work proactively to ensure the team is able to meet the demands of the organization.
Qualifications
  • Education
    • Juris Doctorate required with admission to the Massachusetts Bar.
  • Experience
    • 8 years' experience in a law firm and in-house (at a publicly traded company) with no less than 5 years large law firm experience, or exclusively at a large law firm supporting public companies.
  • Specific Skills and Experience
    • SEC filing experience (Proxy, 10-K, 10-Qs, 8-Ks, Form 4s, etc.).
    • Deep understanding of and ability to analyze financial statements.
    • Medical device/life science experience preferred.
  • Computer Skills
    • Highly skilled in Microsoft Excel and PowerPoint.
  • Travel
    • 10% travel, including domestic and international.
  • Language Requirements
    • Fluent in English.
