A prominent financial services firm is seeking to enhance its team with the addition of a Vice President of Capital Markets Legal Affairs.


Key Responsibilities:
  • Deliver legal guidance and support concerning Debt Capital Markets (DCM) origination.
  • Offer legal counsel and assistance related to Leveraged Finance capital markets.
  • Review, negotiate, and draft various transaction documents including purchase agreements, engagement letters, commitment letters, fee letters, term sheets, and NDAs.
  • Identify and address U.S. and cross-border legal, regulatory, and market challenges impacting the DCM and Leveraged Finance sectors, ensuring compliance with relevant regulations.
  • Provide precise, clear, and effective legal advice.
  • Collaborate with external legal counsel and oversee law firm relationships and associated legal expenses.
  • Maintain and revise standard documents for capital markets operations.
  • Work in conjunction with attorneys in the Legal department and other internal stakeholders to uphold institutional standards and policies, escalating significant issues to senior attorneys and management.
  • Occasionally provide legal support for Equity Capital Markets and M&A Advisory services.
  • Engage in industry initiatives through relevant trade organizations.
Qualifications:
  • Must be admitted to the New York bar or demonstrate eligibility for waiver from another jurisdiction with reciprocity.
  • A minimum of 5 years of experience in capital markets within a law firm and in-house legal department, preferably in a financial services context.
  • Strong legal and analytical skills with a focus on capital markets transactions.
  • Preferred experience in DCM and Investment Grade securities.
  • Ability to thrive under pressure and manage a substantial workload in a fast-paced environment with minimal oversight.
  • Proven expertise in legal and regulatory risk management, with the ability to understand broader implications and balance competing priorities.
  • Exceptional communication, technical drafting, and issue-spotting abilities, with a creative approach to problem-solving.
  • Cross-cultural sensitivity and a collaborative team-oriented mindset are essential.
