Position Overview:
A prominent financial services firm is seeking to enhance its team with a new Vice President of Capital Markets Legal Affairs.

Key Responsibilities:
  • Deliver legal guidance and support concerning Debt Capital Markets (DCM) origination.
  • Offer legal expertise related to Leveraged Finance capital markets.
  • Draft, negotiate, and review various transaction documents, including purchase agreements, engagement letters, commitment letters, fee letters, term sheets, and NDAs.
  • Identify and address U.S. and cross-border legal, regulatory, and market challenges impacting the DCM and Leveraged Finance sectors, ensuring compliance with relevant regulations.
  • Provide precise, clear, and comprehensive legal counsel.
  • Collaborate with external legal advisors and oversee law firm relationships and associated costs.
  • Regularly update and maintain standard documents for capital markets operations.
  • Work in conjunction with attorneys in the Legal department and other internal stakeholders to uphold institutional standards and policies, escalating significant issues to senior legal staff and management.
  • Occasionally support Equity Capital Markets and M&A Advisory functions.
  • Engage in industry initiatives through relevant trade organizations.
Qualifications:
  • Must be admitted to the New York bar or eligible for waiver from another jurisdiction with reciprocity.
  • A minimum of 5 years of experience in capital markets within a law firm and in-house legal setting, preferably in a financial services environment.
  • Strong legal and analytical skills with a focus on capital markets transactions.
  • Experience in DCM and Investment Grade securities is highly desirable.
  • Ability to thrive under pressure in a fast-paced environment while managing a substantial workload independently.
  • Proven expertise in legal and regulatory risk management, with the ability to view issues holistically and protect institutional interests.
  • Exceptional communication, technical drafting, and issue-spotting abilities, with a creative approach to problem-solving.
  • Cross-cultural awareness and a collaborative team-oriented mindset are essential.
