Position: Vice President of Legal Affairs

Key Responsibilities:
  • Support investment and business divisions in structuring, negotiating, and facilitating new credit-oriented investments along with associated investment management considerations.
  • Oversee legal aspects of new tailored product launches, including the structuring, drafting, and negotiation of investment management documents, as well as the review and drafting of disclosures in collaboration with investment, marketing, operations, fund accounting, and tax teams.
  • Collaborate with the funds formation team on new flagship fund launches.
  • Engage with the capital formation team on asset-backed financing liquidity facilities and other debt and equity financing for Blackstone Credit & Insurance funds.
  • Contribute to corporate projects related to the firm, encompassing private and public transactions, operational matters, investor relations, and new business initiatives.
  • Assist with various day-to-day matters encountered by the in-house legal group in relation to a large, dynamic global business, including the review and negotiation of confidentiality agreements, vendor agreements, and miscellaneous contracts.
  • Review marketing materials, investor communications, and responses to investor inquiries.
  • Support ongoing legal aspects of operating existing investment funds, including the review of contractual provisions, preparing amendments, and updating investment vehicles' offering materials.
  • Coordinate with the compliance team on transaction and investment fund-related compliance matters, including Adviser's Act issues, Investment Company Act of 1940, antitrust issues, trade clearance, regulatory filings, and the design and testing of compliance systems.
  • Assist in the updating and maintenance of the firm's policies and procedures, corporate governance documents, and regulatory library and filings.
  • Provide support to various business groups, including investment, marketing, fund accounting, tax operations, and middle office departments.
  • Perform additional duties as required.
Qualifications:

Education:
  • Juris Doctor degree (or foreign equivalent) in Law.
Experience:
  • A minimum of 3 years of experience in the offered position or related roles.
  • A minimum of 3 years of experience representing borrowers and lenders in debt financing transactions, including first-lien, second-lien, and unitranche term loans, asset-based and cash-flow revolvers, bonds, capital call facilities, and distressed lending transactions.
  • A minimum of 3 years of experience advising on the structuring and execution of financing transactions and on guarantee and collateral issues in secured lending.
  • A minimum of 3 years of experience managing all aspects of deal processes, including coordinating among corporate and specialist legal teams, overseeing local counsel and other deal advisors, and facilitating signing and closing matters.
  • A minimum of 3 years of experience advising on antitrust-related matters.
  • A minimum of 3 years of experience representing public issuers in at-the-market equity offerings and other capital markets activities.
  • Experience can be concurrent.
