The Role: We are in search of a General Counsel to serve as our primary legal authority, collaborating closely with executive leadership to navigate corporate governance, strategic partnerships, and regulatory adherence. This role presents a unique opportunity to spearhead our advocacy efforts with regulatory bodies and to establish a robust legal framework that supports our growth ambitions. The ideal candidate will possess a wealth of experience in both the financial services and technology sectors.

Key Responsibilities:

  • Oversee the daily legal operations of the organization, including negotiation of contract terms, corporate governance, compliance, risk management, and intellectual property matters.
  • Lead, develop, and inspire the legal team.
  • Draft, review, negotiate, and maintain comprehensive records of various contracts, including vendor agreements, partnership contracts, terms of service, and confidentiality agreements.
  • Facilitate the company's strategic transactions, ensuring timely legal reviews and document management across all stakeholders.
  • Work alongside cross-functional teams to identify and mitigate legal risks, proposing innovative solutions that align with the company's strategic objectives.
  • Support corporate governance initiatives by preparing board materials, maintaining corporate documentation, and advising on best practices.
  • Assist with employee-related legal matters, including structuring equity compensation agreements and employment contracts.
  • Represent the organization in interactions with state and federal regulatory agencies, including advocacy efforts and responses to inquiries.
  • Review significant external communications and marketing materials to minimize legal exposure.
  • Conduct legal research and stay informed about changes in laws and regulations that may affect the organization.
  • Manage external legal counsel in specialized areas as necessary, ensuring prudent legal advice while effectively managing costs.
  • Address any legal disputes or litigation that may arise.

Qualifications:

  • A minimum of 10 years of experience as corporate counsel, either in-house or at a prestigious law firm.
  • Extensive knowledge of the financial services industry, with a solid understanding of wealth management, retirement services, and the regulatory environment.
  • Proven experience in managing complex agreements and partnerships.
  • Broad legal expertise and experience in formulating legal strategies within the technology and/or financial services sectors.
  • Strong analytical skills with meticulous attention to detail.
  • Exceptional integrity and professionalism, coupled with outstanding communication abilities.
  • J.D. from an accredited law school and licensed to practice in the relevant jurisdiction.

Compensation: The estimated annual base salary for this position is competitive and commensurate with experience.
