The Role: We are in search of a General Counsel to serve as our inaugural in-house legal authority, collaborating closely with executive leadership to oversee corporate governance, strategic agreements, and regulatory compliance. This position offers a unique opportunity to spearhead our advocacy efforts with regulatory bodies and to establish a comprehensive legal department that supports our ambitious growth plans. The ideal candidate will be a proactive legal expert with substantial experience in the financial services and technology sectors.
Key Responsibilities:
- Manage the daily legal operations of the organization, including negotiating contract terms, ensuring compliance, and mitigating risks.
- Build, lead, and inspire the legal team.
- Draft, review, and negotiate a variety of legal documents, including vendor agreements, partnership contracts, and confidentiality agreements.
- Facilitate the company’s strategic transactions, ensuring timely legal reviews and maintaining document integrity.
- Work with cross-functional teams to identify and address legal risks, proposing innovative solutions that align with the company's objectives.
- Support corporate governance initiatives, prepare board materials, and advise on best practices.
- Assist with employee-related legal matters, including equity compensation agreements and employment contracts.
- Represent the firm in interactions with regulatory agencies, including advocacy efforts and responses to inquiries.
- Review significant external communications and marketing materials to minimize legal exposure.
- Conduct legal research and stay informed about relevant legal developments that may affect the organization.
- Oversee external legal counsel in specialized areas, ensuring prudent management of legal expenses.
- Address any legal disputes or litigation that may arise.
Qualifications:
- Minimum of 10 years of experience as corporate counsel, either in-house or at a prestigious law firm.
- Extensive background in financial services, with a deep understanding of wealth management and regulatory frameworks.
- Proven experience in managing complex agreements and partnerships.
- Comprehensive legal knowledge and experience in developing strategies within the tech and financial services industries.
- Strong analytical skills with meticulous attention to detail.
- High level of integrity and professionalism, coupled with excellent communication abilities.
- J.D. from an accredited law school and a valid license to practice law.
Compensation: The anticipated annual base salary for this role is competitive and commensurate with experience.
