The Role: We are in search of a General Counsel to become our inaugural in-house legal authority. This pivotal role will involve collaborating with senior management to navigate corporate governance, strategic agreements, and regulatory compliance. The General Counsel will also spearhead our advocacy efforts with regulatory bodies and establish a robust legal department to support our ambitious growth plans. The ideal candidate will be a proactive legal expert with substantial experience in the financial services and technology sectors.

Key Responsibilities:

  • Oversee the company's daily legal operations, including contract negotiations, corporate governance, compliance, risk management, and intellectual property matters.
  • Build, lead, and inspire the legal team.
  • Draft, review, negotiate, and maintain comprehensive records of various contracts, including vendor agreements, partnership contracts, terms of service, and confidentiality agreements.
  • Facilitate the company's strategic transactions, ensuring timely legal reviews and effective document management.
  • Work closely with cross-functional teams to identify and mitigate legal risks, proposing innovative solutions that align with the company's objectives.
  • Support corporate governance by preparing board materials, maintaining corporate records, and advising on best practices.
  • Assist with employee-related legal matters, including structuring equity compensation agreements and employment contracts.
  • Represent the company in dealings with state and federal regulatory agencies, including advocacy initiatives and responses to inquiries.
  • Review significant external communications and marketing materials to minimize legal exposure.
  • Conduct legal research and stay informed about changes in laws and regulations affecting the company.
  • Manage external legal counsel in specialized areas as necessary, ensuring prudent legal advice while controlling costs.
  • Address any legal disputes or litigation that may arise.

Qualifications:

  • Minimum of 10 years of experience as corporate counsel, either in-house or at a prestigious law firm.
  • Extensive background in financial services, with a solid understanding of wealth management and the regulatory environment.
  • Proven experience in managing complex agreements and partnerships.
  • Broad legal expertise and experience in developing legal strategies within the tech and/or financial services industries.
  • Highly analytical with exceptional attention to detail.
  • Demonstrated integrity and professionalism, along with outstanding communication skills.
  • J.D. from an accredited law school and licensed to practice in the relevant jurisdiction.

Compensation: The anticipated annual base salary for this position is competitive and commensurate with experience.
