Corporate Legal Specialist

The Judge Group is seeking a highly skilled Corporate Legal Specialist to join our team. As a key member of our legal department, you will be responsible for administering and maintaining law department projects, policies, procedures, and practices.
Key Responsibilities:- Project Management: Schedule and coordinate workload support of legal management activities, ensuring timely completion of projects and tasks.
- Research and Analysis: Perform research and analyze information in response to legal issues, providing actionable insights to inform business decisions.
- Document Review: Review document requests and coordinate work assignments, ensuring accuracy and compliance with policies and applicable laws and regulations.
- Training and Development: Conduct training and provide input, processes, and results for data management systems, enhancing the skills and knowledge of team members.
- Interviews and Investigations: Conduct interviews to gather background information and identify issues for legal review, ensuring thorough and accurate assessments.
- Communication and Confidentiality: Identify and protect all oral and written communications, maintaining confidentiality and discretion in sensitive matters.
- Budgeting and Financial Management: Review and recommend budget projections for outside counsel and vendors expenses, ensuring effective financial management and resource allocation.
- Leadership and Collaboration: May lead practice group activities and deploy key messages in support of business managers, fostering collaboration and driving business outcomes.
- Contract Review: Review, revise, and assess contract terms, Proprietary Information Agreements (PIAs), and other nondisclosure or non-sales agreements to identify key areas of concern and the business needs of the customer.
- Document Drafting: Draft, review, and revise legal documents, including contract terms, non-disclosure agreements, policy updates, conflict of interest letters, and organizational conflict of interest plans, ensuring accuracy and compliance with policies and applicable laws and regulations.
- Intellectual Property and Information Protection: Assist intellectual property counsel in advising on intellectual property and information protection issues and U.S. Government rights in data and software, ensuring effective protection and management of sensitive information.
- Due Diligence and Risk Analysis: Collect and compile facts, conduct detailed risk analysis, and identify potential solutions in a time-critical environment, ensuring thorough and accurate assessments.
- Issue Summaries and Reporting: Prepare and deliver written concise issue summaries, outlining facts, highlighting relevant contractual and legal requirements, and providing actionable insights to inform business decisions.
- Contract Terms and Conditions: Perform review and analysis of contract terms and conditions to minimize risk, ensuring effective management and mitigation of potential issues.
- Open Source Software Review: Under attorney oversight, conduct due diligence reviews of open source software, including interpreting the applicability of related licenses to planned software use, ensuring compliance with policies and applicable laws and regulations.
- Intellectual Property Exit Interviews: Conduct intellectual property exit interviews of departing employees, ensuring effective protection and management of sensitive information.
- Project Management and Coordination: Perform legal research, conduct fact investigations, and manage complex projects, ensuring timely completion and effective outcomes.
- Information Integrity Incident Investigations: Conduct information integrity incident investigations, ensuring thorough and accurate assessments and effective mitigation of potential issues.
- Contract Drafting and Review: Experience drafting, reviewing, and revising contracts, including purchase agreements, software licenses, supply agreements, services agreements, non-disclosure agreements, or memorandum of understanding.
- Legal Research and Analysis: Proficiency in performing legal research via Lexis and/or Westlaw and providing litigation assessments, ensuring accurate and actionable insights.
- Research and Analysis: Experience conducting in-depth research and general legal research, including statutory, regulatory, interpretive agency documents, legislative histories, and case research within the last two years using Lexis/Nexis and/or Westlaw.
- Regulatory Knowledge: Working knowledge of Federal Acquisition Regulations and supplemental regulations, ensuring compliance with policies and applicable laws and regulations.
- Technical Skills: Proficiency with SharePoint set-up, Webex set-up, and records management systems, ensuring effective management and coordination of projects and tasks.
- Confidentiality and Discretion: Experience in the handling and safeguarding of proprietary and confidential information, maintaining confidentiality and discretion in sensitive matters.
- Experience and Education: Prefer at least seven (7) or more years of relevant legal experience, with a Paralegal Certificate and Bachelor's degree desired, ensuring a strong foundation in legal principles and practices.
- Writing and Analytical Abilities: Outstanding writing and analytical abilities, ensuring effective communication and problem-solving skills.
