Job Responsibilities
1. Assist in the drafting and submission of legal documents, including contracts, corporate resolutions, and securities filings.
2. Conduct thorough legal research and analysis on various corporate and securities law issues.
3. Collaborate with internal teams and external legal counsel to ensure adherence to federal, state, and local laws and regulations.
4. Support the management of corporate governance, including board and committee meetings, minutes, and related documentation.
5. Aid the legal team in the due diligence process for mergers, acquisitions, and other strategic transactions.
6. Maintain an organized and current database of all corporate records, contracts, and legal documents.
7. Provide legal assistance to the sales team, including contract review and negotiation.
8. Monitor changes in laws and regulations that may impact the company and provide timely updates to the legal team and relevant stakeholders.
Qualifications:
1. A Bachelor's degree is required. A Paralegal Certificate from an ABA-approved program is highly preferred.
2. A minimum of 3 years of experience as a corporate paralegal, ideally within the sales sector.
3. Strong knowledge of corporate law and securities, including experience with SEC filings and corporate governance.
4. Excellent research and analytical abilities, with the capacity to interpret complex legal documents and regulations.
5. Strong organizational skills and attention to detail, capable of managing multiple tasks and projects simultaneously.
6. Exceptional communication and interpersonal skills, with the ability to engage effectively with all levels of the organization.
7. Proficiency in Microsoft Office Suite and legal research tools.
8. Proven ability to maintain confidentiality and manage sensitive information with discretion.
9. Self-driven, with the ability to work independently as well as collaboratively.
