Key Responsibilities:
  • Assist attorneys in drafting and reviewing legal documents, including bylaws, compliance documentation, entity formation, and organizational documentation.
  • Organize closing documents and prepare electronic closing binders.
  • Prepare and file state tax registrations, elections, and draft stockholder consents.
  • Draft certificates of limited partnerships, articles of organization, operating agreements, and other state filings.
  • Prepare and file Uniform Commercial Code (UCC) financing statements, amendments, continuations, and terminations.
Requirements:
  • 5+ years of corporate or business law paralegal experience in a law firm setting.
  • Proficiency with Adobe and Microsoft Office suite (Word, Excel, and Outlook).
  • Ability to manage multiple projects with competing deadlines and priorities.
