Job Summary

We are seeking a highly skilled Senior Corporate Paralegal to join our team. This exciting opportunity will involve providing exceptional support to our Corporate and Securities legal team, ensuring the efficient management of complex matters.

The ideal candidate will have advanced knowledge of corporate governance, securities, and M&A processes, as well as excellent research and analytical skills. If you are a motivated and detail-oriented individual with a passion for law, we encourage you to apply.

Responsibilities
  • Provide expert paralegal support to the Corporate and Securities legal team, including securities matters, corporate governance, M&A, and investments activity.
  • Manage and maintain accurate and up-to-date corporate entity records, including minute books and entity formations.
  • Investigate and research complex legal and historical entity issues, ensuring compliance with relevant laws and regulations.
  • Prepare and manage the filing of Section 16 reports, tracking beneficial stock ownership for directors and executive officers.
  • Manage quarterly and annual director compensation processes, including cash payments, restricted stock grants, and 1099 preparation.
  • Draft Board of Directors meeting notices and track attendance, providing supporting information for quarterly and annual auditor processes.
  • Oversee all processes related to corporate entity filings, annual reports, franchise tax filings, and state and federal corporate disclosure documents.
  • Maintain entity officer and director lists, drafting annual election documents and quarterly entity organizational charts.
  • Manage third-party vendor relationships, including stock transfer agents, registered agents, and proxy advisory firms.
  • Support internal departments with corporate disclosures, license and permit applications, and other related matters.
Requirements
  • Advanced knowledge of corporate governance, securities, and M&A processes.
  • Excellent research and analytical skills, with the ability to identify opportunities to create and implement processes.
  • Strong written and verbal communication skills, with the ability to work independently and as part of a team.
  • Ability to maintain confidentiality and exercise discretion and good judgment.
  • 10+ years of paralegal or equivalent work experience, with a paralegal certification or Bachelors Degree in Paralegal Studies or a related field.

Estimated Salary

$120,000 - $150,000 per year, depending on experience.
