Position Overview:

As the Senior Vice President of Legal Affairs, you will be instrumental in developing our legal framework, ensuring adherence to regulations, and protecting our organizational interests. This role requires close collaboration with executive leadership, management of a skilled legal team, and provision of expert counsel on a variety of legal issues. Your expertise in regulatory compliance and corporate governance will be crucial. You will report directly to the Chief Financial Officer (CFO) and serve as a strategic member of the Senior Leadership Team, working alongside the Vice President, General Counsel.

Key Responsibilities:
  • Engage with external advisors, investment bankers, and auditors to ensure regulatory compliance.
  • Provide guidance on adherence to securities laws, corporate governance, and disclosure requirements.
  • Stay informed on regulatory changes and revise internal policies as necessary.
  • Manage shareholder communications, proxy statements, and annual reporting.
  • Oversee all litigation processes.
  • Collaborate with external legal counsel to devise effective strategies for risk management.
  • Lead responses to cyber incidents and associated legal matters.
  • Offer legal support for mergers and acquisitions, including due diligence and negotiations.
  • Evaluate legal risks and opportunities related to potential acquisitions or divestitures.
  • Assist the board of directors in fulfilling their responsibilities.
  • Prepare materials for board meetings and provide advice on governance issues.
  • Manage legal entity matters, import-export regulations, and international agreements.
  • Support contract drafting and negotiations across various company functions.
  • Work with cross-functional teams to tackle global legal challenges.
  • Safeguard the company's intellectual property assets, including patents, trademarks, and trade secrets.
  • Oversee licensing agreements and resolve IP-related disputes.
  • Participate in or lead the compliance committee.
  • Manage relationships with external law firms and engage specialized legal counsel as needed.
Minimum Qualifications:
  • Juris Doctor (JD) degree from an accredited law institution.
  • Admission to the bar in the relevant jurisdiction.
  • At least 10 years of legal experience, with substantial exposure to both private and public company matters.
  • Demonstrated leadership capabilities and proficiency in managing a legal team.
  • Exceptional communication, negotiation, and problem-solving skills.
  • Proven experience in navigating complex litigation and regulatory challenges.
