Federal Contracts Attorney

We are seeking a highly skilled Corporate Counsel - Federal Contracts to work in a hybrid capacity to provide full lifecycle contract management across our contracts portfolio. This individual will be responsible for drafting, reviewing, interpreting, and negotiating a variety of agreements, including consulting agreements with both federal and commercial entities, confidentiality agreements, third-party agreements, vendor contracts, and various other contracting instruments.
Key Responsibilities- Contract Development and Negotiation: Review, negotiate, interpret, and advise on all contracts for a national management consulting firm, including commercial and federal contracts and GSA schedules.
- Contract Review and Negotiation: Review and negotiate terms and conditions of all types of contractual agreements, including Non-Disclosure, Teaming Agreements, Subcontract agreements, MSAs, Independent Contractor Agreements, Task Orders, SOWs, modifications, to ensure compliance with established legal policies and standards.
- Collaboration and Communication: Work with finance department on pricing, accounting, or revenue recognition contract requirements, facilitate execution of contract documents, and facilitate dispute resolution to mitigate risks and protect company interests.
- Contract Management: Collaborate with business group, senior leadership as well as internal operations functions, serve as primary point of contact for contract-related inquiries and issues, and ensure that all contract terms and conditions comply with legal requirements, customer specifications, company policy and procedures, and government regulations, including FAR.

- Contract Reporting and Compliance: Manage contract reporting compliance requirements for GSA schedules and other contract vehicles, analyze solicitations, and provide proposal guidance support, manage representations and certifications, and oversee and manage internal firewalls and conflict of interest mitigation strategies.
- Risk Analysis and Mitigation: Analyze and mitigate risk for the business during every contract negotiation, and continuously improve contracts management processes.
- Process Improvement and Implementation: Help to assess and implement contracts management tools, including a contracts management system, develop and implement contracts management best practices, including tools, templates, and processes, and provide training and guidance to employees on contract management procedures.
- Qualifications and Requirements: A minimum of 5 years of experience drafting, reviewing, and negotiating Federal professional services contracts, a minimum of 5 years of experience managing compliance and reporting requirements for a federal contractor, including GSA schedules, extensive knowledge of the Federal Acquisition Regulations (FAR), task order contracts, purchase orders, blanket purchase agreements (BPA), and GSA schedules, experience using contracts management system for a federal contractor, expert skills in contract, written and verbal negotiation, ability to multi-task on strategic initiatives, and day-to-day contractual processes, superb communication skills, and a JD degree.
- Desired Qualifications: Experience with drafting, reviewing, and negotiating commercial contracts, experience with federal protests, experience supporting the implementation of a contract management system, experience using customer relationship management software (e.g., Salesforce), familiarity with data privacy regulations, both domestic and international (e.g., GDPR), and CPCM certificate, or related contracts certification highly desired.
