Position Overview

Strata Solar LLC, a prominent national developer and operator in the solar energy and energy storage sector, offers its legal professionals a diverse and dynamic legal practice. Our legal team plays a crucial role in supporting the General Counsel and collaborating with Strata's executive leadership to achieve strategic objectives from both legal and commercial viewpoints. This role reports to the Deputy General Counsel and involves close collaboration with various departments, particularly the engineering, procurement, and construction (EPC) and operations and maintenance (O&M) teams.

Key Responsibilities:

  • Provide direct support and manage both internal and external legal resources for Strata's solar and energy storage project EPC teams throughout all project phases.
  • Independently draft, review, and negotiate primary EPC contracts where Strata acts as the main contractor, as well as agreements with third-party EPC contractors for projects owned by Strata subsidiaries.
  • Draft, assess, negotiate, and finalize master subcontract agreements for civil, mechanical, electrical, and commissioning scopes, along with battery energy supply contracts.
  • Assist the EPC team with permitting processes.
  • Support procurement, supply chain, and logistics teams in sourcing and delivering essential construction components, including drafting and negotiating master supply and service agreements.
  • Assist the O&M team in negotiating service contracts with both new and existing clients.
  • Guide commercial teams on litigation and dispute resolution, including managing external legal resources.
  • Provide general corporate and commercial legal support as needed, including assistance to development and asset management teams.
  • Identify, manage, and advise business clients and executive management on critical risk allocation and mitigation strategies.
  • Effectively oversee external legal resources.
  • Review, negotiate, and finalize software licensing agreements, nondisclosure agreements, consulting services agreements, and engineering master services agreements.
  • Contribute to the development and implementation of processes, document templates, procedures, best practices, and controls within the legal department.
  • Stay informed about current events and developments in the renewable energy sector, particularly those that may impact Strata's operations.
  • Bring a proactive, solution-oriented attitude to the workplace.
  • Engage in close collaboration with external counsel, ensuring a thorough understanding of core issues, negotiation points, contracts, and risks to achieve Strata's objectives.

Qualifications:

  • Juris Doctor (JD) from an accredited law school.
  • Active license to practice law in a U.S. state.
  • A minimum of 5 years of relevant legal experience.
  • Strong interest in renewable energy; prior experience is advantageous but not mandatory.
  • Effective drafting, negotiation, and communication skills to identify complex legal issues and develop alternative solutions.
  • Pragmatic problem-solver with the ability to address legal issues in relation to contractual goals.
  • Strong time management, project management, dispute resolution, and interpersonal skills.
  • Creative, adaptable, and independent thinker.
  • Team-oriented with the ability to lead and motivate colleagues and clients.
  • Quality-focused with a commitment to execution.

Work Environment:

  • This position is primarily office-based.
  • Ability to sit, stand, or walk for the duration of the workday is required.
