The journey for a patient with a brain tumor is deeply emotional. Newly diagnosed patients often arrive at the emergency department due to changes in vision, balance, or cognitive function. Their world is quickly turned upside down as they race towards surgery. Unfortunately, many patients (~50% for glioblastomas) experience recurrence within a few months and, along with their dedicated family members and clinicians, must navigate treatment options once again. It has been over a decade since an innovative treatment option was cleared by the FDA—until GammaTile® Therapy

We are now seeking a Contracts & Intellectual Property Manager to add to our growing team. This individual will ideally be in the Mid-West or East Coast area and available to work remotely as well as travel to our clinical sites as needed. Position Summary

The Contract & Intellectual Property (IP) Manager is a full-time, exempt position that is responsible for managing and protecting the intellectual property assets of the company, overseeing contractual agreements, and ensuring compliance with legal and regulatory requirements. The Contracts & IP Manager works closely with various departments, including Medical Affairs, Clinical Affairs, Marketing, Sales, Human Resources, and Finance, to ensure that all contractual and IP-related matters are handled efficiently and in compliance with relevant laws and regulations. This role is crucial for safeguarding the company's innovations and fostering strategic partnerships within the medical device industry.


Job Duties

Contract Management

  • Drafts, reviews, negotiates, and manages a variety of contracts, including but not limited to confidentiality agreements, manufacturing contracts, R&D agreements, licensing agreements, vendor contracts, partnership agreements, and employment contracts.
  • Ensures all contracts comply with company policies and legal and regulatory requirements.
  • Manages contract renewals, amendments, and terminations.
  • Monitors contract performance and compliance, including tracking key dates and obligations.
  • Maintains a central repository of all contracts and ensures they are properly executed and stored.
  • Embodies the company’s purpose and shared values of Empathy, Empowerment, and Excellence, building a positive and productive team culture.
  • Complies with Company policies and procedures.
  • Authorized to access employee and/or patient PHI and ePHI only as needed for job-related functions.
  • Completes other duties as assigned.

Intellectual Property Management

  • Develop and implement strategies for the protection of the company's innovations.
  • Manage the IP portfolio, including patents, trademarks, copyrights, and trade secrets.
  • Conduct IP due diligence for mergers, acquisitions, and collaborations and freedom-to-operate analyses.
  • Coordinate with external legal counsel and oversee IP filings.
  • Manage IP enforcement actions, including prosecution, litigation, and dispute resolution.
  • Monitor competitor IP activities and industry trends.
  • Evaluate potential IP acquisition opportunities.

Legal Compliance and Risk Management

  • Ensure the company’s contracts and IP practices comply with relevant laws and regulations.
  • Identify potential legal risks and develop strategies to mitigate them.
  • Advise senior management on legal implications of business activities and strategies.
  • Stay up to date with changes in laws and regulations affecting the company’s contracts and IP.
  • Educate and train employees on IP policies and best practices.

Collaboration and Communication

  • Works closely with various departments to understand their contractual and IP needs.
  • Provides guidance and support to team members on legal and compliance issues.
  • Liaise with external legal counsel, external partners, including universities, research institutions, and industry consortia as needed.


Requirements:

Qualifications

  • Bachelor's degree in Law, Business Administration, or a related field. A Juris Doctor (JD) or equivalent legal qualification is preferred.
  • Minimum of 5 years of experience in contract management and intellectual property law and/or working as a corporate paralegal preferably in the medical device industry.
  • Certification in contract management (e.g., Certified Commercial Contracts Manager CCCM), preferred.
  • Experience with domestic and international contracts and IP issues.
  • Strong knowledge of contract law, intellectual property law, and commercial transactions.
  • Excellent contract drafting, negotiation, and analytical skills.
  • Strong organizational skills and attention to detail.
  • Ability to work independently and manage multiple projects simultaneously.
  • Excellent communication and interpersonal skills.
  • Proficiency in legal research tools and contract management software.
  • Proficient in using Microsoft office programs (Outlook, Word, Excel, and PowerPoint).
  • Willingness to work a flexible schedule.
  • Able to travel as needed.
  • Satisfactorily pass comprehensive background screening.

Physical Demands/Working Conditions

  • Typical work environment for a professional office or home office space.
  • Largely a stationary role with some moving from place to place.
  • Constant use of a computer, keyboard, mouse, monitor and other office equipment.
  • Occasionally picks up, carries, and moves items up to 30 lbs.
  • Some evening and weekend work depending upon workload.
  • Some overnight travel may be required for work, events, and training.
