Position Overview:

A leading renewable energy manufacturing firm is in search of a seasoned Chief Legal Officer to spearhead the legal department and bolster the company's objectives by delivering strategic legal counsel to the executive leadership. This role presents a unique opportunity to engage with innovative technologies and solutions aimed at leveraging renewable energy sources.

The Chief Legal Officer will act as a vital partner to the executive team, overseeing all legal aspects pertinent to the company's operations. This position involves a diverse array of legal matters, including but not limited to Engineering, Procurement, and Construction (EPC) contracts, manufacturing contracts, service agreements, supplier contracts, and compliance with regulatory frameworks. The ideal candidate will have extensive knowledge in commercial contracts, a robust background in the renewable energy sector, and the capability to navigate intricate legal environments with strategic insight.

Key Responsibilities:

  • Formulate and execute legal strategies that align with the company's business goals and expansion plans.
  • Act as a trusted advisor to the executive team on all legal and regulatory issues.
  • Lead and mentor the in-house legal team, promoting a culture of excellence and teamwork.
  • Draft, review, and negotiate EPC contracts, manufacturing contracts, service agreements, supplier contracts, and other critical agreements.
  • Ensure compliance of contracts with applicable laws, regulations, and internal policies.
  • Provide guidance on risk management and mitigation strategies concerning contractual obligations and disputes.
  • Stay informed on federal, state, and local regulations impacting the renewable energy sector.
  • Ensure that company practices and agreements adhere to all relevant regulatory standards.
  • Engage with regulatory agencies and oversee compliance initiatives.
  • Manage and oversee legal disputes, including litigation and arbitration processes.
  • Develop strategies for dispute resolution and negotiate settlements to safeguard the company's interests.
  • Advise on corporate governance issues, including board and shareholder meetings, ensuring compliance with corporate policies and procedures.
  • Assist in the preparation of legal documentation and filings necessary for corporate governance.
  • Oversee and safeguard the company's intellectual property portfolio, including patents, trademarks, and trade secrets.
  • Provide counsel on IP-related agreements and disputes.
  • Identify potential legal risks and devise strategies to mitigate them.
  • Conduct legal due diligence for mergers, acquisitions, and partnerships.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school and admission to the bar in at least one U.S. jurisdiction.
  • A minimum of 7 years of legal experience, focusing on commercial contracts, renewable energy, and related fields.
  • Proven experience in drafting and negotiating complex agreements, including EPC, manufacturing, and service contracts.
  • Strong understanding of regulatory requirements and compliance challenges in the renewable energy industry.
  • Exceptional analytical, negotiation, and communication skills.
  • Demonstrated ability to manage multiple projects and priorities in a dynamic environment.
  • Prior in-house experience within a manufacturing, construction, or renewable energy organization is highly desirable.
