Key Responsibilities:
  • Provide guidance on a wide array of executive compensation issues, including program design and structural impacts.
  • Offer legal counsel to the People Solutions team and the Compensation and Talent Committee regarding current compensation practices and monitor these in light of evolving best practices.
  • Lead the drafting of proxy statements.
  • Oversee compensation-related disclosures in SEC filings, including Forms 8-K and Section 16 filings.
  • Advise on corporate governance issues related to executive compensation.
  • Assist in preparing materials for Board of Directors and Compensation and Talent Committee meetings.
  • Deliver legal and tax advice concerning stock-based compensation programs.
  • Maintain policies and procedures for executive compensation and benefits programs.
  • Advise on deferred compensation and related tax matters.
  • Support the retirement committee in managing the 401(k) plan.
  • Review plan documents and ensure compliance across various plans and programs.
  • Provide counsel on compensation matters related to corporate transactions.
  • Assist with securities issues as part of the broader Securities and Corporate Governance team.
  • Foster strong relationships with Global Stock Administration, People Solutions, Tax, Finance, Corporate Development, and other teams.
  • Collaborate effectively with non-attorney staff.
  • Work under general supervision and keep management informed of project progress.
  • Contribute to the development of training materials and conduct training sessions for client groups.
  • Manage outside legal counsel effectively.
Qualifications:
  • J.D. degree from an accredited law school.
  • Active member of the California bar association or another acceptable jurisdiction.
  • Over 10 years of experience in a national law firm or a combination of law firm and in-house experience.
  • Strong expertise in executive compensation and familiarity with stock-based compensation programs.
  • Experience with publicly traded companies.
  • Knowledge of SEC rules and regulations, including Section 16 and Regulation 14A.
  • Understanding of tax rules such as Sections 409A, 162(m), and 280G.
  • Exceptional legal drafting skills with meticulous attention to detail.
  • Ability to work collaboratively within a team of securities and corporate governance lawyers and with other functional groups.
  • Strong communication skills to convey complex legal and compliance issues clearly.
  • Proven ability to inspire trust and confidence through effective interpersonal skills.
  • Capability to exercise independent judgment and manage multiple projects simultaneously.
  • Adaptability to plan and manage projects from inception to completion in a dynamic environment.
  • Proactive approach to anticipating client and manager needs.
  • Ability to prioritize critical tasks with minimal supervision.
  • Strong work ethic and capacity to deliver high-quality work under pressure.
