Key Responsibilities:
  • Provide counsel on a wide array of executive compensation issues, focusing on program design and structural implications.
  • Offer legal guidance to the People Solutions team and the Compensation and Talent Committee regarding current compensation practices, ensuring alignment with evolving best practices.
  • Lead the drafting of proxy statements.
  • Oversee compensation-related disclosures in SEC filings, including Forms 8-K and Section 16 filings.
  • Advise on corporate governance issues pertaining to executive compensation.
  • Assist in preparing materials for Board of Directors and Compensation and Talent Committee meetings.
  • Deliver legal and tax insights related to stock-based compensation initiatives.
  • Maintain policies and procedures for executive compensation and benefits programs.
  • Provide counsel on deferred compensation and related tax matters.
  • Support the retirement committee in managing the 401(k) plan.
  • Review plan documents and participant communications, ensuring compliance across various programs.
  • Advise on compensation considerations in corporate and strategic transactions.
  • Collaborate with the Securities and Corporate Governance team on securities matters.
  • Foster strong relationships with Global Stock Administration, People Solutions, Tax, Finance, and Corporate Development teams.
  • Work effectively with non-attorney personnel.
  • Operate under general supervision, keeping management informed of project progress.
  • Assist in creating training materials and conduct sessions for client groups on relevant topics.
  • Manage external legal counsel effectively.
Qualifications:
  • J.D. degree from an accredited law school.
  • Active member of the California bar association or another recognized jurisdiction.
  • Over 10 years of experience in a national law firm or a combination of law firm and in-house legal experience.
  • Strong background in executive compensation and familiarity with stock-based compensation programs.
  • Experience with publicly traded companies.
  • Knowledge of SEC regulations, including Section 16 and Regulation 14A.
  • Understanding of tax regulations related to compensation.
  • Exceptional legal drafting skills with meticulous attention to detail.
  • Ability to collaborate effectively within a team of legal professionals and with various functional groups.
  • Strong communication skills, capable of articulating complex legal issues clearly.
  • Proven ability to build trust and confidence through effective interpersonal communication.
  • Ability to exercise independent judgment and manage multiple projects simultaneously.
  • Adaptability to manage projects from inception to completion in a dynamic environment.
  • Proactive approach to anticipating client and managerial needs.
  • Focus on critical priorities with minimal supervision.
  • Strong work ethic with a commitment to delivering high-quality results under pressure.
