Position Overview

Role Summary

As a Senior Legal Counsel, you will engage in a diverse range of legal functions to uphold the integrity and interests of the organization while ensuring adherence to applicable laws and regulations. Your expertise will be vital in providing legal guidance that aligns with the company's operational and strategic objectives.

Key Responsibilities:

  • Offer legal advice to various business units regarding contract management, commercial dealings, employment law, and other pertinent areas.
  • Draft and negotiate a variety of business agreements, including vendor contracts, client agreements, service contracts, licensing agreements, development contracts, and non-disclosure agreements.
  • Act on behalf of the organization in legal matters before judicial bodies, regulatory agencies, or other relevant authorities to safeguard the organization's interests.
  • Oversee litigation and dispute resolution processes, including preparing responses to governmental inquiries and other formal proceedings.
  • Assist in the formulation and review of legal documents to ensure they accurately reflect the organization's intentions. Participate in merger and acquisition initiatives.
  • Evaluate and authorize public communications from a legal perspective to identify and mitigate potential legal risks. Stay informed on legal publications and legislative changes; advise management on implications for the organization.
  • Draft legal contracts, agreements, and other documents related to various commercial, financial, and operational matters (e.g., loans, leases, purchase agreements, acquisitions, employment contracts) to protect the organization's legal and business interests.
  • Analyze and interpret legal precedents, court rulings, and existing or proposed laws and regulations to prepare comprehensive reports on their impact on the organization. Prepare documentation for external legal counsel.
  • Develop a thorough understanding of company policies and engage in their administration, particularly in collaboration with Human Resources and Compliance teams.

Qualifications:

Education:

  • Juris Doctor Degree.

Licensure:

  • Active member of a state bar in good standing.

Experience:

  • A minimum of 4 years of experience in providing legal counsel within a law firm or corporate environment.

Additional Skills:

  • Proven experience in developing legal strategies for complex and high-profile cases.
  • Experience advising senior executives and leadership teams.
  • Ability to diagnose and resolve intricate issues, recommending and implementing effective solutions.
  • Experience collaborating with cross-functional teams to identify and address complex challenges.
  • Strong time management skills, including the ability to prioritize and organize multiple projects with varying deadlines.
