Position: Environmental General Counsel/Corporate Secretary
We are seeking a dedicated Environmental General Counsel/Corporate Secretary to safeguard the legal interests and operations of our organization, ensuring compliance with relevant federal, state, and local regulations. This role involves leading the legal services team and acting as the chief legal advisor to the board of directors, while also managing executive committee and board operations.
Key Responsibilities:
- Formulate and implement legal strategies, encompassing both proactive and defensive litigation.
- Collaborate with technical and policy teams to provide insights on regulations and legislation affecting the chemical industry.
- Manage legal risks, including compliance with political and lobbying standards, and oversee contracts with external entities.
- Ensure corporate governance practices are upheld, including board and committee processes, while serving as the corporate secretary.
- Participate as a member of the senior management team, aligning legal strategies with departmental objectives.
- Oversee compliance with applicable laws, including antitrust regulations.
- Act as the chief compliance officer, managing the code of ethics and conduct program.
- Supervise the selection, retention, and performance evaluation of external legal counsel.
- Lead the legal services department, establishing performance goals and facilitating professional development for team members.
- Direct the preparation of the annual legal operational budget.
Qualifications:
- Juris Doctorate degree from an accredited law school.
- Admission to the bar to practice law.
- A minimum of 12 years of experience as an attorney.
- At least 8 years of advocacy or related experience.
- Proven expertise in the chemical or related sectors.
Preferred Experience:
- Experience with federal government agencies (e.g., EPA).
- Basic understanding of environmental, health, and safety (EHS) regulations.
- Experience in board governance and trade associations.
