\tCorteva Agriscience is hiring a Senior Commercial Counsel reporting to the Associate General Counsel for the Crop Protection Business Unit. This position is responsible for providing legal counsel, drafting and strategic input to business development teams in support of various complex collaborations that result in the development, launch and commercialization of crop protection products. The successful candidate will have strong experience and background in negotiating complex global commercial and licensing agreements and transactions, be able to collaborate and communicate successfully across legal and business teams to drive successful conclusions to business arrangements and be able to manage multiple and varied legal work on a timely and efficient basis. This role is based at Corteva's headquarters in Indianapolis, Indiana and follows the Company's flexible work arrangements that require a commitment to be on-site during a portion of the week. The role may require some limited travel.\r

\tKey Responsibilities - What you will do to help us grow\r
\r
\t
  • Working independently, provide timely, clear and actionable legal and strategic counsel on a wide range of crop protection commercial matters.\r
\r
\t
  • Work collaboratively in cross-functional teams in devising and implementing negotiation strategies for complex commercial transactions.\r
\r
\t
  • Promptly draft, review and negotiate a variety of commercial agreements, including product development, sales, distribution, manufacturing, and licensing arrangements.\r
\r
\t
  • Advise on company policies, ensuring compliance with applicable laws and regulations and educate clients through regular communications, trainings, and other appropriate methods.\r
\r
\t
  • Conduct training to commercial teams on timely legal topics to ensure full compliance by employees with Corteva guidelines, policies and procedures and all applicable laws and regulations.\r
\r
\t
  • Serve on global portfolio leadership teams and influence decision-making processes with senior and executive level clients and stakeholders.\r
\r
\t
  • Consistently anticipate, guard against, and propose mitigation strategies for the management of potential contractual and compliance risks.\r
\r
\t
  • Become a trusted and collaborative partner to the North American and global crop protection business development and commercial teams.\r
\r
\tQualificationsWhat expertise have you grown - What do you bring to the table?\r
\r
\t
  • JD from an ABA accredited law school.\r
\r
\t
  • Minimum of 10 (ten) years of commensurate legal experience.\r
\r
\t
  • Presently licensed to practice law in at least one state and be in good standing with no disciplinary record.\r
\r
\t
  • Proficiency in drafting and negotiating commercial contracts.\r
\r
\t
  • Excellent judgment in assessing and communicating legal risks while also understanding and working collaboratively within the business strategy.\r
\r
\t
  • Deep knowledge of U.S. commercial and antitrust law and sufficient familiarity with global commercial and antitrust law to provide oversight.\r
\r
\t
  • The ability to work independently and without dedicated administrative or paralegal support and limited outside counsel support.\r
\r
\t
  • Excellent people skills, positive attitude and demonstrated ability to effectively communicate complex legal issues verbally and in writing in a clear and understandable manner to all levels of the organization.\r
