Key Responsibilities:
- Provide comprehensive organizational and administrative support to senior corporate attorneys on legal, administrative, and paralegal tasks.
- Assist with the annual Code of Ethics certification process, ESG disclosures, and related activities.
- Coordinate scheduling, materials, and preparation for board of directors meetings and their committees.
- Offer administrative support with phone communications, calendar management, departmental meetings, documentation, travel arrangements, and catering.
- Support special events, social activities, morale-building initiatives, charity events, newsletters, departmental functions, special projects, and personal matters.
- Manage expense reports for attorneys and coordinate meetings, legal administration, and related tasks.
- Assist in creating PowerPoint presentations, speeches, biographies, and communications.
- Review and process invoices and reimbursements, collaborating with vendors and the internal accounts payable team to ensure timely payments.
- Support attorneys and paralegals responsible for preparing SEC filings (including 10K, 10Q, 8K, proxy, Section 16 filings, registration statements) and associated processes.
- Assist with maintaining public company minute books, stock transfer records, and various corporate governance documents.
- Draft correspondence and liaise with the company's stock transfer agent, aiding in stock transfer administration and record-keeping.
- Engage in document review, drafting, and preparation of contracts, and assist with M&A and other corporate transactions.
- Support electronic and physical legal filing systems.
- Provide ad hoc assistance to the corporate legal team, including processing nondisclosure agreements, legal entity formation and maintenance, mergers and acquisitions transactions, data rooms, and other corporate matters.
Qualifications:
- Exceptional organizational, interpersonal, communication, and writing skills.
- Confidence and capability to communicate effectively with senior executives, directors, and employees at all levels.
- Proactive, self-motivated, and adept at managing and organizing an executive to enhance productivity and effectiveness.
- Proficient in computer applications (MS Word, Excel, Outlook, Visio, PowerPoint, and Adobe). Experience with or willingness to learn Diligent, Worvika, Section 16 filing software, and similar tools is advantageous.
- Team-oriented mindset coupled with a strong work ethic.
- Ability to multitask and demonstrate flexibility and initiative under pressure.
- Capability to maintain confidentiality and exercise sound judgment and discretion.
- A sense of humor, creativity, and a spirit of adventure are essential.
- Prior experience as an in-house legal assistant is a plus.
Educational Requirements:
- A Bachelor's Degree and/or paralegal certification is required.
Compensation: $50,000 Min - $60,000 Max
The actual base salary will be determined on an individualized basis, considering a variety of factors including relevant skills, experience, education, and, where applicable, licenses or certifications held. In addition to base salary and a competitive benefits package, this position may be eligible for additional forms of compensation, including discretionary bonuses and other short- and long-term incentives (e.g., deferred cash, equity, etc.).
