Lead Counsel for Technology Solutions

Tandym Group is in search of a seasoned Lead Counsel to support our expanding technology operations remotely.

Key Responsibilities:

The Lead Counsel will:

  • Oversee the structuring, drafting, negotiation, and review of a diverse array of complex commercial and technology agreements, including licensing agreements, software-as-a-service (SaaS) contracts, master service agreements, and vendor contracts.
  • Engage in the drafting, negotiation, and assessment of electronic collateral control agreements.
  • Stay abreast of changing regulations regarding electronic contracting, secured transactions, and data privacy, conducting necessary research on these topics.
  • Evaluate marketing materials, including digital platforms.
  • Enhance and maintain standard agreements, playbooks, policies, and legal procedures.
  • Collaborate with management and various teams including sales, marketing, product development, and finance, providing guidance on daily legal matters, risk management, intellectual property issues, and compliance efforts.
  • Manage disputes, litigation, and relationships with external legal counsel.
  • Develop a comprehensive understanding of the business, its personnel, organizational structure, market dynamics, products, technologies, customer base, competitors, and regulatory landscape to identify trends, anticipate challenges, and deliver high-level legal and commercial advice.
  • Undertake additional projects and assignments as necessary.

Qualifications:

  • Juris Doctorate from an accredited law institution.
  • Active membership in good standing with the relevant state bar association.
  • A minimum of 3 to 6 years of legal practice.
  • Extensive experience in drafting and negotiating complex commercial contracts, including software licensing and support agreements, SaaS agreements, and consulting/professional services contracts.
  • Proficient understanding of data privacy and information security matters.
  • Exceptional communication, organizational, and management abilities.
  • Strong analytical and negotiation skills with meticulous attention to detail.
  • Capability to perform under pressure, meet deadlines, manage multiple projects with competing priorities, and adapt to a dynamic environment.

Preferred Skills:

  • A blend of experience in both law firms and in-house legal departments.
  • Direct experience providing legal services to technology firms.
