Position Overview

Oscar Health is seeking a Senior Legal Advisor, Securities Regulation to enhance our Corporate Counsel team.

Role Responsibilities

The Senior Legal Advisor will play a critical role within the Legal department, ensuring adherence to public company regulations, including SEC filings and compliance with insider trading laws, Section 16, and Regulation FD.

This position will involve:

  • Leading legal guidance for SEC documentation, including Forms 10-K, 10-Q, 8-K, and Proxy Statements.
  • Overseeing compliance with insider trading policies and other SEC and NYSE mandates.
  • Providing strategic legal counsel for capital market transactions.
  • Collaborating with Finance, Accounting, Treasury, Investor Relations, and Compensation teams to address complex business challenges.
  • Delivering insightful training and guidance to enhance understanding of public company legal obligations.
  • Building and maintaining trusted relationships with leadership to meet organizational needs and identify areas for enhancement.
  • Simplifying complex legal matters into clear, actionable insights for business partners.
  • Ensuring operational readiness to support Oscar's public company responsibilities.
  • Establishing metrics to track trends in public company activities.
  • Leading the development and refinement of legal processes that support compliance.
  • Upholding all applicable laws and regulations.
  • Performing additional duties as required.
Qualifications
  • J.D. from an ABA accredited law school and attorney in good standing.
  • Valid law license and eligibility to register as In-House Counsel in New York State.
  • Over 10 years of relevant experience in a top-tier law firm or as in-house counsel.
Preferred Experience
  • Background in startups.
  • Experience in the healthcare or insurance sectors.
