Senior Counsel, Technology Commercial Contracts Specialist

We are seeking an experienced and dynamic commercial transactions practitioner to join our Global Legal team at GPS Services. As a Senior Counsel, Technology Commercial Contracts, you will work closely with business partners to provide strategic legal guidance and manage complex matters.
Key Responsibilities- Provide commercially oriented legal advice and guidance to the business on complex third-party agreements, particularly those with a technology focus.
- Draft, review, and negotiate a range of agreements related to technology, software, SaaS, payments, e-commerce, consulting, and logistics services.
- Negotiate and draft agreements related to strategic partnerships, joint development, IP acquisitions, and privacy.
- Provide strategic legal and business advice to facilitate long-term relationships with key business partners.
- Manage multiple projects and complex matters simultaneously under deadline pressure.
- Support the Head of Commercial Contracts Legal in evolving our contract process and policies.
- JD required; licensed to practice law in the US with 7+ years of experience in a reputable law firm and/or multinational companies.
- Experience in drafting, negotiating, counseling, and problem-solving commercial transactions, particularly agreements related to technology, software, SaaS, payments, and e-commerce.
- Experience with transportation and logistics, marketing and advertising, consulting and services, talent and partnerships agreements is highly desirable.
- In-house experience and/or retail, commercial, or consumer products experience, particularly with knowledge of U.S. state and UK/EU privacy laws, Generative AI, and AdTech, is a plus.
- Practical mindset with the ability to provide strategic counseling to business partners, balancing legal considerations and business objectives.
- Excellent communication, collaboration, counseling, decision-making, problem-solving, and influencing skills.
- Emotional intelligence and ability to work cross-functionally with stakeholders at all levels.
- Ability to handle multiple complex matters concurrently and effectively prioritize work to achieve business objectives.
- Excellent judgment and integrity with a demonstrated commitment to inclusion, diversity, and community involvement/pro-bono work.
