AGG Legal Staffing is seeking a Corporate Governance Assistant to join our innovative team. This position offers a unique opportunity to support a new practice area within our expanding legal firm. The ideal candidate will collaborate closely with a variety of private equity partners, contributing to the growth of their practice.

The Corporate Governance Assistant is essential in delivering comprehensive support to our corporate attorneys. Responsibilities include managing document production, liaising with private equity clients, and facilitating the establishment of their practices and projects. We are looking for a proactive team player who is eager to contribute to our collaborative environment.

Key Responsibilities:

  1. Draft, edit, and proofread a range of corporate documents, including contracts, agreements, compliance materials, and closing documents.
  2. Assist in assembling pre-closing documentation and managing sets of executed documents for signatures and amendments.
  3. Engage with private equity clients as an integral part of the practice group.
  4. Possess a solid understanding of filing procedures and e-filing with relevant state and federal offices.
  5. Organize and maintain client and administrative files in accordance with firm protocols, utilizing the document management system.
  6. Coordinate scheduling of appointments, including meetings, video conferences, and travel arrangements, while managing the attorney's calendar.
  7. Record and submit attorney's billable hours in compliance with firm policies, and review billing statements from the Accounting Department.
  8. Conduct initial conflict checks and manage the opening and closing of client matters, including preparing engagement letters.
  9. Monitor case deadlines and collaborate with the Docket Department to ensure compliance.
  10. Arrange travel logistics and track expenses for timely reimbursement.
  11. Maintain professional communication with both internal and external clients, upholding the firm's commitment to exceptional service.

Additional Duties:

  1. Actively participate as a member of the practice group support team.
  2. Complete the Legal Technology Core Competencies Certification Coalition (LTC4) Program to enhance technology proficiency.
  3. Stay updated on all firm systems and operational practices.
  4. May require occasional overtime or weekend work.
  5. Perform additional administrative tasks as assigned.

Given the confidential nature of the information handled, it is imperative to maintain strict confidentiality at all times.

Qualifications:

The ideal candidate for the Corporate Governance Assistant role should possess a High School Diploma and a minimum of three years of relevant corporate experience, ideally with exposure to private equity. Strong multitasking abilities, excellent interpersonal skills, and proficiency in Microsoft Office Suite (Excel, Outlook, PowerPoint, Word) and PDF software are essential. Familiarity with tools such as InTapp Time, Intapp Open, Chrome River Expense Reporting, Aderant, Interaction, and iManage is advantageous. A strong customer service orientation is a must.
