Position Summary:
The Senior Associate Counsel for Corporate Governance is tasked with overseeing the governance framework of the organization and its legal entities, as well as managing the corporate governance components associated with the integration of newly acquired entities.
Key Responsibilities:
- Provide guidance on the cross-functional integration of recently acquired entities.
- Support global legal entity management operations, including formation, mergers, dissolutions, and compliance with local legal standards.
- Assist the Board of Directors and its committees by preparing meeting materials and board documentation.
- Contribute to the drafting of proxy statements and public disclosures, along with organizing the annual stockholders' meeting.
- Stay informed on corporate governance best practices and regulatory changes, advising on compliance and policy updates.
- Engage in collaborative efforts with Legal, Compliance, and other departments across the organization.
Work Environment:
This role is classified as hybrid, allowing for a combination of remote and in-office work. Employees in hybrid roles are expected to be present in the office for 2-3 predetermined days each week, based on departmental needs.
Qualifications:
Basic Requirements:
• Minimum of 5 years of relevant experience with a Bachelor's Degree, or 2 years with an advanced degree (e.g., JD, MBA), or no experience with a PhD.
Preferred Qualifications:
• At least 6 years of experience with a Bachelor's Degree or 4 years with an advanced degree, or up to 3 years with a PhD.
• Juris Doctorate from an accredited institution.
• Active membership in a State Bar or eligibility for in-house counsel registration in the relevant state.
• Proficient knowledge of corporate law, governance, and contractual matters.
• Experience in mergers and acquisitions, as well as legal entity management.
• Familiarity with U.S. securities laws and SEC regulations.
• Experience managing complex, cross-jurisdictional projects.
• Background in either in-house legal departments or large law firms.
• Strong relationship-building skills with business partners.
• Excellent problem-solving abilities and business acumen.
• Composed under pressure with a positive demeanor.
• Exceptional written and verbal communication skills.
Additional Information:
Work Hours: Flexible based on departmental requirements.
Travel Requirements: This role may involve travel up to 10% of the time.
Mental/Physical Requirements: The position is office-based, requiring the ability to sit and stand at a desk, communicate effectively, and operate standard office equipment.
