A leading firm in the renewable energy sector is in search of a seasoned Chief Legal Officer to spearhead the legal department and advance the organization's mission by delivering strategic legal counsel to the executive leadership. This role provides an opportunity to engage with innovative technologies and solutions aimed at optimizing renewable energy resources.

The Chief Legal Officer will act as a strategic ally to the executive team, overseeing all legal affairs pertinent to the organization's operations. This position covers a wide array of legal matters, including but not limited to Engineering, Procurement, and Construction (EPC) contracts, manufacturing contracts, service contracts, supplier contracts, and compliance with regulatory standards. The ideal candidate will have extensive expertise in commercial contracts, a robust background in the renewable energy field, and the capability to navigate intricate legal environments with strategic insight.

Key Responsibilities:

  • Formulate and execute legal strategies that align with the organization’s business goals and expansion plans.
  • Serve as a trusted advisor to the executive team on all legal and regulatory issues.
  • Oversee and mentor the internal legal team, promoting a culture of excellence and teamwork.
  • Draft, review, and negotiate EPC contracts, manufacturing contracts, service contracts, supplier contracts, and other essential agreements.
  • Ensure that contracts adhere to applicable laws, regulations, and organizational policies.
  • Advise on risk management and mitigation strategies related to contractual obligations and disputes.
  • Monitor and interpret federal, state, and local regulations impacting the renewable energy sector.
  • Ensure that organizational practices and agreements comply with all relevant regulatory standards.
  • Engage with regulatory authorities and oversee compliance initiatives.
  • Manage legal disputes, including litigation and arbitration processes.
  • Develop strategies for dispute resolution and negotiate settlements to safeguard the organization’s interests.
  • Advise on corporate governance matters, including board and shareholder meetings, ensuring compliance with corporate policies and procedures.
  • Assist in the preparation of legal documentation and filings necessary for corporate governance.
  • Manage and safeguard the organization’s intellectual property portfolio, including patents, trademarks, and trade secrets.
  • Provide counsel on IP-related agreements and disputes.
  • Identify potential legal risks and formulate strategies to mitigate them.
  • Conduct legal due diligence for mergers, acquisitions, and partnerships.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school and admission to the bar in at least one U.S. state.
  • A minimum of 7 years of legal experience, focusing on commercial contracts, renewable energy, and related sectors.
  • Proven experience in drafting and negotiating complex agreements, including EPC, manufacturing, and service contracts.
  • Strong understanding of regulatory requirements and compliance issues within the renewable energy industry.
  • Excellent analytical, negotiation, and communication skills.
  • Demonstrated ability to manage multiple projects and priorities in a dynamic environment.
  • Prior in-house experience in a manufacturing, construction, or renewable energy organization is highly desirable.
