Vice President of Investment Legal Affairs

Position Summary:
Beal Nevada Service Corporation is a prominent global investment firm dedicated to providing innovative capital solutions across various sectors. We are currently seeking a Vice President of Investment Legal Affairs to play a crucial role in delivering legal guidance related to investments, operational matters, regulatory compliance, and other significant issues.
The selected candidate will collaborate closely with senior leadership, offering expert legal opinions in asset-based financing, real estate transactions, and other intricate financial dealings. This role also encompasses providing legal support across different business functions for our affiliated entities.
Key Responsibilities:
- Draft, review, and negotiate confidentiality and non-disclosure agreements, including electronic agreements.
- Negotiate contracts with consultants, external legal advisors, and other stakeholders.
- Oversee the activities of external legal counsel and contractors.
- Analyze and assess syndicated credit agreements, bond indentures, and other financing documents, focusing on associated risks in various asset classes, including:
- Real Estate
- Shipping
- Oil and Gas (upstream and downstream)
- Non-recourse project financing (e.g., LNG facilities)
- Public-private partnerships
- Aviation and aircraft financing
- Securitizations (including RMBS and CMBS)
Qualifications:
- Bachelor's degree in business, liberal arts, or a related field.
- Juris Doctor (JD) from a top-tier ABA accredited law school with strong academic credentials.
- Active law license in good standing, preferably in Texas.
- 4-7 years of experience in private practice focusing on real estate, bankruptcy, or secured financing is preferred.
- Minimum of 4 years representing lenders in complex secured lending or real estate transactions.
- Experience with distressed assets and bankruptcy proceedings is highly desirable.
- Strong understanding of financial and capital markets.
- Proficient in financial analysis, business valuation, and asset assessment.
- Exceptional research, analytical, and problem-solving abilities.
- Ability to synthesize complex information and draw informed conclusions.
- Positive attitude and a passion for providing legal counsel.
- Proven ability to prioritize tasks and manage multiple deadlines effectively.
- Excellent communication skills, both verbal and written, with the capacity to convey complex concepts clearly.
- Adaptability to a fast-paced work environment with shifting demands.
- Commitment to continuous improvement and a strong work ethic.
- Demonstrated organizational skills and attention to detail.
- Proficient in Microsoft Office Suite and other relevant business tools.
