Integrated Dermatology is a leading national medical practice acquisition and management firm. We are on the lookout for a motivated individual to join our team as a Transactional Paralegal. The ideal candidate will possess a strong background in corporate transactions and healthcare law, ready to assist multiple attorneys in a fast-paced environment while managing various legal and administrative tasks.

Position Overview:
This role presents an exceptional opportunity within one of the fastest-growing sectors in the nation. The selected candidate will collaborate closely with attorneys on acquisition and transactional matters, contributing to a rewarding work culture with ample opportunities for professional growth.

Key Responsibilities:

  • Assist in the preparation and submission of corporate documents, including company formations, entity dissolutions, and necessary state filings.
  • Draft internal documents such as operating agreements, bylaws, closing memoranda, and meeting notes.
  • Support corporate attorneys in the preparation and management of acquisition documentation.
  • Conduct thorough due diligence and compile relevant information for corporate transactions.
  • Prepare due diligence reports and lien search memoranda.
  • Oversee and track the progress of all acquisition transactions.
  • Review transactional documents to prepare and update closing checklists.
  • Coordinate the preparation, assembly, and execution of documents prior to closing.
  • Compile closing binders and distribute them to relevant parties.
  • Maintain regular communication with attorneys regarding project statuses and deadlines, addressing any issues as they arise.
  • Administer and update a corporate database containing all subsidiaries to ensure real-time access to accurate corporate data and documents.
  • Assist with filings related to the Corporate Transparency Act.
  • Research applicable state laws concerning healthcare regulations and other relevant matters.
  • Monitor changes in government guidelines and provide reports on significant updates.
  • Maintain legal memoranda on regulatory requirements.
  • Liaise with internal executives and staff across all levels.
  • Provide administrative support to the General Counsel and other attorneys within the legal department.

Qualifications:

  • Minimum of 5 years of experience as a Corporate Paralegal.
  • At least 3 years of corporate transactional experience with a demonstrable understanding of mergers and acquisitions.
  • Proficient in MS Word, Excel, and Adobe, with a capacity to quickly learn new software applications.
  • Strong organizational skills and meticulous attention to detail.
  • Ability to prioritize tasks effectively and work under pressure to meet deadlines.
  • Collaborative team player with the ability to work well with attorneys and support staff.
  • Professionalism and discretion in handling confidential information.
  • Clear and concise communication skills, both verbal and written.
  • Proactive approach to taking independent actions within a defined scope of authority.
  • Resourceful and hardworking with a flexible attitude towards a variety of tasks.
