Position Overview

Salary:
We are in search of a skilled and proactive Senior Legal Counsel to enhance our expanding Legal Team. This role will involve acting as a legal consultant on various telecommunications infrastructure agreements. You will be responsible for overseeing and directing all legal aspects of the company's mergers and acquisitions activities, which will include the examination, drafting, and negotiation of contracts pertinent to our operations.

Key Responsibilities:

  • Examine, draft, and negotiate various contracts and transactional documents, including Asset and Stock Purchase Agreements and Master Lease Agreements.
  • Provide oversight for all legal transactions related to the Company’s mergers and acquisitions.
  • Collaborate across multiple business units, including M&A and Finance teams, on significant business transactions.
  • Act as a liaison with external legal representatives and represent the Company in dealings with partners and operators.
  • Review and assess ground leases, easements, tenant leases, surveys, title reports, and other property-related agreements.
  • Prepare corporate documentation and maintain the Company’s legal records.
  • Manage external legal counsel in conducting legal due diligence for mergers and acquisitions.
  • Negotiate and draft financing documents related to mergers and acquisitions, such as Commitment Letters, Term Sheets, and Loan Agreements.
  • Assist in managing and reporting on the Company’s existing Credit Facilities globally.
  • Perform additional duties as necessary in the capacity of legal counsel.
  • Represent the Legal Department at Board Meetings in various markets.
  • Ensure the Company operates in compliance with all relevant laws and regulations.

Qualifications:

  • A minimum of 5-12 years of experience in real estate and corporate transactions, preferably within a reputable law firm or in-house legal department, with a focus on telecommunications or tower industry.
  • Juris Doctorate from an accredited law school and an active legal license in the relevant jurisdiction.
  • Experience in real estate transactional law, ideally gained in a large to medium-sized international law firm.
  • Bilingual proficiency in English, Spanish, and/or Italian is required.
  • Exceptional drafting skills and a self-starter attitude with demonstrated problem-solving capabilities.
  • Ability to take ownership, negotiate, and resolve complex issues.
  • Sound judgment in handling sensitive and confidential matters.
  • Capacity to work collaboratively in a fast-paced environment.
  • Strong work ethic, organizational skills, and attention to detail.
  • Proficiency in Microsoft Office applications.
  • Excellent written, verbal, and presentation skills.
  • Maintain a professional demeanor consistently.
  • Willingness to undertake additional responsibilities as assigned.
