We are in search of a seasoned and proactive Senior Legal Counsel to enhance our expanding Legal Team. This role will involve acting as a legal consultant on various telecommunications infrastructure transactions. You will take charge of overseeing and managing all transactional components of PTI's mergers and acquisitions activities, which will encompass the review, drafting, and negotiation of contracts pertinent to PTI's operations.
Key Responsibilities:
- Review, draft, and negotiate contractual and transactional documents, including Asset and Stock Purchase Agreements and Master Lease Agreements.
- Provide oversight for all legal transactional elements of the Company's mergers and acquisitions activities.
- Collaborate with various business units, including M&A and Finance teams, on significant business transactions.
- Act as a liaison with external legal representatives and represent the Company in discussions with counterparts and operators.
- Analyze ground leases, easements, tenant leases, surveys, title reports, and other property-related agreements.
- Prepare corporate documentation and maintain the Company's legal records.
- Manage external legal counsel during the legal due diligence process related to mergers and acquisitions.
- Negotiate and draft financing documents relevant to any mergers and acquisitions, such as Commitment Letters, Term Sheets, and Loan Agreements.
- Assist in managing and reporting on the Company's existing Credit Facilities globally.
- Fulfill additional duties as required in the capacity of legal counsel for the Company.
- Represent PTI Legal at Board Meetings in various markets.
- Ensure that the Company conducts its operations in compliance with all applicable laws and regulations.
Qualifications:
- A minimum of 5-12 years of experience in real estate and corporate transactions, ideally within a reputable law firm or in-house legal department, with a preference for experience in the telecommunications or tower sector.
- Juris Doctorate degree from an accredited law school and an active license to practice law in the relevant jurisdiction.
- Proven experience in real estate transactional law, preferably gained in a large to medium-sized international law firm with an institutional client base.
- Bilingual proficiency in English, Spanish, and/or Italian is required.
- Exceptional drafting skills are essential.
- A self-starter with initiative and demonstrated problem-solving capabilities.
- Ability to take ownership, negotiate, and resolve complex issues.
- Sound judgment on intricate, confidential, and sensitive matters.
- Capacity to work collaboratively and thrive in a fast-paced environment.
- Strong work ethic, well-organized, and detail-oriented.
- Proficiency in Microsoft Office applications.
- Excellent written, verbal, and presentation skills are required.
- Maintain a professional demeanor consistently.
- Willingness to perform additional duties as assigned.
