We are in search of a skilled and proactive Senior Counsel to enhance our expanding Legal Team, serving as a key legal advisor on a variety of telecommunications infrastructure transactions. This role involves managing and directing all legal aspects of PTI's mergers and acquisitions, which encompasses the review, drafting, and negotiation of contracts pertinent to PTI's operations.
Key Responsibilities:
- Draft, review, and negotiate contracts and transactional documents, including Asset and Stock Purchase Agreements and Master Lease Agreements.
- Oversee all legal aspects of the Company's mergers and acquisitions activities.
- Collaborate with various business units, including M&A and Finance teams, on significant business transactions.
- Act as a liaison with external legal counsel and represent the Company in dealings with clients and operators.
- Analyze ground leases, easements, tenant leases, surveys, title reports, and other property-related agreements.
- Prepare corporate documentation and maintain the Company's legal files.
- Manage external legal counsel during the legal due diligence process related to mergers and acquisitions.
- Negotiate and draft financing documents relevant to mergers and acquisitions, such as Commitment Letters, Term Sheets, and Loan Agreements.
- Assist in managing and reporting on the Company's existing Credit Facilities globally.
- Fulfill additional duties as required in the capacity of legal counsel.
- Represent PTI Legal at Board Meetings in various markets.
- Ensure the Company adheres to all applicable laws and regulations in its operations.
Qualifications:
- 5-12 years of experience in real estate and corporate transactions, preferably with a reputable law firm or in-house legal department, with a focus on telecommunications or tower industry.
- Juris Doctorate from an accredited law school and an active license to practice law in the relevant jurisdiction.
- Experience in real estate transactional law, ideally gained within a large to medium-sized international law firm.
- Bilingual proficiency in English, Spanish, and/or Italian is required.
- Exceptional drafting skills are essential.
- Self-motivated with demonstrated problem-solving capabilities.
- Ability to take initiative, negotiate, and resolve complex issues.
- Sound judgment in handling confidential and sensitive matters.
- Ability to work collaboratively in a fast-paced environment.
- Strong work ethic, well-organized, and detail-oriented.
- Proficient in Microsoft Office applications.
- Excellent written, verbal, and presentation skills are necessary.
- Maintain professionalism at all times.
- Willingness to undertake additional responsibilities as assigned.
