Job Summary

We are seeking a highly skilled Corporate Legal Associate to join our team at Beacon Hill. As a Corporate Legal Associate, you will play a critical role in supporting our busy practice and working closely with our team of experienced lawyers.

Key Responsibilities
  • Coordinate Legal Assistant Assignments: Manage and coordinate the workflow of legal assistants within the practice, ensuring that tasks are completed efficiently and effectively.
  • Mentor New Legal Assistants: Provide guidance and support to new legal assistants in the Alternative Investments practice, helping them to develop their skills and knowledge.
  • Provide Guidance on Best Practices: Offer guidance and advice to Associates within the practice on best practices and firm policies, ensuring that they are aware of and comply with all relevant procedures.
  • Conduct Research and Compile Data: Conduct research and compile data to support the work of the practice, including maintaining and updating working group lists and organizing due diligence documents.
  • Maintain Deal Closing Checklists: Maintain and update deal closing checklists, ensuring that all necessary documents and information are up-to-date and easily accessible.
  • Create Transaction Deliverables Tracking Systems: Create and maintain transaction deliverables tracking systems and related timelines, ensuring that all deadlines are met and that all necessary documents are completed on time.
  • Prepare Signature Packets: Prepare and distribute signature packets to deal participants, ensuring that all necessary documents are signed and returned in a timely manner.
  • Draft Form Documents: Draft form documents and correspondence for deal participants, ensuring that all necessary information is included and that all documents are accurate and complete.
  • Draft Letters to Clients: Draft letters to clients and other counsel, ensuring that all necessary information is included and that all documents are accurate and complete.
  • Prepare UCC Filings: Prepare Uniform Commercial Code (UCC) filings, order lien searches, and stay abreast of regulations relating to Article 9 of the UCC.
  • Assist with Corporation Formation: Assist with the creation of corporations and limited liability companies, including preparation of formation documents, ordering searches, and overseeing all filing requirements and maintenance obligations.
  • Prepare Responses to Auditor Requests: Prepare responses to auditor requests, ensuring that all necessary information is included and that all documents are accurate and complete.
  • Maintain Case Contact Information: Maintain and update case contact information, ensuring that all necessary details are up-to-date and easily accessible.
  • Notarize Documents: Notarize documents, assist with notary authentication, and apostill/consularize documents as needed.
  • Review and Proofread Legal Documents: Review and proofread legal documents, ensuring that all necessary information is included and that all documents are accurate and complete.
  • Assist with EDGAR Filing: Assist with the EDGAR filing process, ensuring that all necessary documents are completed and submitted in a timely manner.
  • Assist with Closings: Assist with closings, draft and review closing checklists, and prepare closing binders in electronic and paper format for distribution.
  • Load and Organize Closing Sets: Load and organize closing sets and deal documents in relevant databases, ensuring that all necessary information is easily accessible.
Qualifications
  • Strong Client Service Skills: Provide exceptional client service and demonstrate strong written and oral communication skills.
  • Ability to Handle Multiple Projects: Ability to handle and complete multiple projects simultaneously with minimal supervision.
  • Strong Organizational Skills: Possess strong organizational skills and an ability to prioritize tasks effectively.
  • Ability to Meet Deadlines: Ability to meet deadlines and work well under pressure.
  • Strong Attention-to-Detail: Possess strong attention-to-detail, spelling, and grammar skills.
  • Ability to Think Critically: Ability to think critically and analytically, and exhibit sound judgment.
  • Effective Team Player: Effective and proactive team player with a flexible and available work schedule.
  • Strong Computer Skills: Possess strong computer skills and proficiency in Microsoft Office (Word, Excel, and PowerPoint) and Adobe Acrobat.
  • Notary Public: Become a notary public within the first 6 months of employment.
  • Availability: Available to report to work on regularly scheduled days and at the scheduled hour.
