Professional Experience:

  • Extensive experience in Bankruptcy and Corporate Restructuring, particularly in representing major chapter 11 debtors, significant financial stakeholders, and buyers in 363 transactions.
  • Proven track record in drafting key documents such as forbearance agreements, restructuring support agreements, chapter 11 petitions, first-day motions, debtor-in-possession financing documents, cash collateral agreements, plans of reorganization, disclosure statements, solicitation materials, investigatory reports, bidding procedures, and asset purchase agreements.

Role Summary:

  • The firm seeks a candidate to enhance a dynamic and innovative corporate restructuring practice, focusing on comprehensive representation of debtors and major creditors in both judicial and extrajudicial restructurings, distressed lending, asset acquisitions, and bankruptcy litigation.
  • The selected candidate will be part of a highly regarded bankruptcy and corporate restructuring team, consisting of six partners in New York and approximately 40 attorneys across the firm's other offices.
  • Ideal candidates will possess exceptional academic credentials and a distinguished employment history in law firms with minimal transitions since graduation.

Key Responsibilities:

  • Represent corporate debtors, lenders, financial institutions, creditors, and other parties in a variety of restructuring transactions, including cross-border cases, as well as in bankruptcy-related litigation and specialized representations. Restructuring transactions may include out-of-court restructurings, prepacked and prearranged chapter 11 filings, traditional chapter 11 cases, 363 asset purchases, and various distressed lending transactions across multiple sectors.
  • Draft and negotiate essential restructuring documents, including forbearance agreements, restructuring support agreements, chapter 11 petitions, first-day motions, debtor-in-possession financing documents, cash collateral agreements, plans of reorganization, disclosure statements, solicitation materials, investigatory reports, bidding procedures, and asset purchase agreements.
  • Prepare bankruptcy litigation documents, including complaints, answers, discovery requests, procedural motions, and related filings.
  • Engage in effective communication and correspondence with colleagues, clients, and opposing counsel.
  • Demonstrate the ability to conduct legal research primarily in bankruptcy contexts; utilize library resources and electronic tools; establish and maintain effective working relationships; communicate proficiently in English, both orally and in writing; organize and prioritize tasks; and follow written and oral instructions. Proficiency in Microsoft Office Suite, Outlook, Word, Excel, and Adobe Acrobat is required.
