Position Overview:

Larson Maddox is seeking a knowledgeable Benefits Counsel to enhance their legal department. The successful candidate will possess a robust understanding of employee benefits legislation, particularly in relation to ERISA compliance, and should have at least three years of relevant experience.

Key Responsibilities:

  • Offer legal guidance on the creation, execution, and management of U.S. retirement and health benefit programs.
  • Ensure adherence to ERISA, HIPAA, COBRA, and the Internal Revenue Code, while remaining informed about emerging statutory and regulatory changes.
  • Draft, evaluate, and update plan documents and summary plan descriptions.
  • Provide counsel on pension, retirement, health, and wellness benefits plans and initiatives.
  • Engage in DOL or IRS audits and provide advice regarding current and forthcoming statutory and regulatory obligations.
  • Prepare and assess participant communications and contribute to legal support for plan design and interpretation.
  • Collaborate with external benefits counsel in a strategic and cost-effective manner.
  • Exercise fiduciary oversight for various employee and ERISA benefit plans within the organization.

Qualifications:

  • J.D. degree from an ABA-accredited law school.
  • Active membership in good standing with the Bar.
  • A minimum of three years of experience with tax-qualified retirement plans, executive compensation, equity compensation, and welfare benefit plans.
  • Expertise in compliance, design, and execution of both qualified and non-qualified retirement plans.
  • Familiarity with executive compensation and benefits considerations in mergers and acquisitions is advantageous.
  • Strong grasp of taxation issues related to executive compensation arrangements, including Sections 409A and 280G of the Internal Revenue Code.
  • Experience with ERISA fiduciary responsibilities and pension investment matters, including VCOC/REOC structuring.
