Company Overview: Renewable Properties is on the lookout for a skilled and experienced In-House Legal Advisor to effectively engage and manage various facets of the organization's legal operations. This position marks the inaugural internal legal appointment and will enhance the company's robust network of external legal support.

Role Summary: The selected candidate will offer legal guidance throughout the organization and spearhead the legal execution on a variety of subjects, including real estate, project financing, engineering, procurement, and construction (EPC) contracts, as well as mergers and acquisitions (M&A) negotiations and other transactional matters.

Key Responsibilities:

  • Deliver daily legal support to the organization and cultivate relationships with business stakeholders by providing timely, clear, and commercially viable legal counsel.
  • Draft, review, negotiate, and interpret a diverse array of commercial agreements, such as project financing contracts, service agreements, real estate contracts, supply agreements, EPC contracts, consulting agreements, confidentiality agreements, letters of intent, and term sheets.
  • Oversee and manage intricate transactions from a legal standpoint, including acquisitions, divestitures, joint ventures, and partnership agreements.
  • Identify and advise management on potential risks, claims, and disputes that may arise from commercial contracts and transactions, proposing practical solutions to facilitate resolution.
  • Supervise external legal counsel concerning various financing, corporate, transactional, or operational issues.
  • Coordinate with different departments as necessary in relation to potential transactions.
  • Provide legal assistance and counsel to management.
  • Stay informed on ongoing changes within the legal and regulatory landscape and communicate their potential impact on the organization.

Qualifications:

  • Juris Doctor degree with a minimum of five (5) to eight (8) years of relevant experience as a practicing attorney in a law firm and/or as an in-house corporate attorney.
  • Active membership in a state bar in good standing is preferred.
  • Extensive experience in drafting, negotiating, and advising on complex commercial contracts and transactions.
  • Exceptional oral and written communication skills.
  • Proficient negotiator.
  • Highly organized, detail-oriented, and efficient.
  • Strong interpersonal communication skills with the ability to interact effectively, persuasively, and tactfully with employees and business partners.
  • Excellent judgment and the ability to handle sensitive and confidential information.
  • Capability to analyze legal research, investigate results, relevant data, and fact patterns to arrive at effective and economical solutions.
  • Experience in the renewable energy sector is preferred.
  • Project financing experience is a plus but not mandatory.
