Position Overview: Corporate Paralegal
Role Summary: This role offers vital support to the Legal department in handling general corporate matters and managing the complete range of corporate maintenance activities.
Key Responsibilities:
- Oversee the maintenance of corporate minute books for subsidiaries, including the preparation of shareholder and board resolutions for electing directors, officers, and approving necessary transactions.
- Manage the annual calendar and ensure timely filing of annual reports in both domestic and foreign jurisdictions for all subsidiaries.
- Prepare and review corporate qualifications, name changes, fictitious name filings, mergers, withdrawals, and dissolutions for subsidiaries.
- Assist subsidiaries in meeting legal and contractual obligations, including trade licenses.
- Coordinate with subsidiaries that require clearance from the Department of Defense.
- Process complaints and subpoenas served on all corporate entities.
- Collaborate with Tax, Accounting, Marketing, Operations, Human Resources, and Risk Departments to gather relevant corporate information.
- Support due diligence and the closing processes for corporate mergers and acquisitions.
- Assist with financing arrangements and related documentation, including UCC filings.
Qualifications:
- A minimum of 3 years of experience in a large law firm or a complex in-house corporate environment.
- A bachelor's degree and a paralegal certificate are preferred.
- Exceptional organizational, oral, and written communication skills.
- Self-motivated with a keen attention to detail.
- Ability to prioritize tasks effectively and work collaboratively as part of a team.
- Capability to manage multiple responsibilities and meet daily deadlines.
- Strong analytical skills, including the ability to interpret government statutes, regulations, and technical procedures.
- Proficient in the Microsoft O365 Suite, including Excel, PowerPoint, Visio, Teams, and experienced with SmartSheet and DocuSign.
Compensation and Benefits:
EMCOR Government Services offers a competitive salary range of $100,000 - $120,000, along with eligibility for bonuses.
