Job Title: Corporate Paralegal

EMCOR Group, a leading provider of mechanical and electrical construction, facilities services, and energy infrastructure, is seeking a highly skilled Corporate Paralegal to join our team. As a Corporate Paralegal, you will provide support to the Legal department on general corporate matters and conduct the full spectrum of corporate maintenance activities.

Key Responsibilities:
  • Maintenance of corporate minute books for subsidiaries, including preparation of shareholder and board resolutions electing directors, officers, and approving necessary transactions.
  • Maintenance of annual calendar and attendance to filing of annual reports in domestic and foreign states for all subsidiaries.
  • Preparation and review of corporate qualifications, name changes, fictitious name filings, mergers, withdrawals, and dissolutions for subsidiaries.
  • Assistance to subsidiaries with legal and contract requirements, including trade licenses.
  • Coordination with subsidiaries requiring clearance with the Department of Defense.
  • Processing of complaints/subpoenas served on all corporate entities.
  • Coordination with Tax, Accounting, Marketing, Operations, Human Resources, and Risk Departments regarding pertinent corporate and related information.
  • Assistance on due diligence and closing of corporate mergers and acquisitions.
  • Assistance with financings and related documents, including UCCs.
Requirements:
  • Minimum of 3 years of experience at a large law firm or in a complex in-house corporate environment.
  • Baccalaureate degree and paralegal certificate preferred.
  • Strong organizational, oral, and written communication skills.
  • Self-motivated and detail-oriented.
  • Ability to prioritize workflow and perform effectively as a team member.
  • Ability to manage multiple tasks and meet deadlines on a daily basis.
  • Strong analytic skills, including interpreting government statutes and regulations and technical procedures.
  • Strong command of the Microsoft O365 Suite, including Excel, PowerPoint, Vizio, Teams, as well as proficiency with SmartSheet and DocuSign.
