Position Overview

We seek a proactive and enthusiastic individual with a practical approach to join our expanding Legal team. In this capacity, you will assist two attorneys managing US-related legal matters while collaborating with our international Legal team based in Switzerland and Taiwan. You will report directly to the Head of Legal – US.

Key Responsibilities

  • Draft and submit legal documents pertinent to corporate governance, including formation and foreign registration documents, amendments, annual reports, bylaws, and operating agreements.
  • Support in the creation and negotiation of confidentiality and non-disclosure agreements for US-based pharmaceutical clients and vendors.
  • Organize and maintain corporate records, such as minute books, officer resolutions, agreements, and other vital documents.
  • Assist in due diligence processes for mergers, acquisitions, financing, and various corporate transactions.
  • Conduct research on legal matters and regulatory requirements as necessary.
  • Engage with internal stakeholders and external entities to collect and preserve essential information and documentation.
  • Prepare and distribute agendas, materials, and minutes for internal meetings involving the Legal department and other divisions.
  • Collaborate with other departments, including Finance, Procurement, Supply Chain, and Human Resources on special projects as required.
  • Manage administrative tasks such as scheduling meetings, overseeing calendars, arranging travel, and processing expense reports.
  • Execute other related duties as assigned.

Qualifications and Skills

  • Bachelor's degree and/or paralegal certification required.
  • 2-3 years of relevant paralegal experience required.
  • Proficient in Microsoft Office Suite (Outlook, Word, Excel, PowerPoint, & SharePoint).
  • Exceptional writing, analytical, and communication abilities.
  • Capability to work independently and collaboratively within a growing team.
  • Aptitude for working with cross-functional and international departments.
  • Experience in a corporate or in-house environment is highly preferred.
  • Familiarity with online contract management systems is advantageous.
