Calculated Hire is seeking a skilled Legal Assistant II to join our esteemed Financial Services client. The successful candidate will engage in various responsibilities that are essential to the legal operations of the organization.

Key Responsibilities:

  • Engage in moderately complex projects and identify opportunities for enhancing processes within the legal support function.
  • Analyze and assess basic legal assignments that necessitate research and evaluation, focusing on low to medium risk deliverables.
  • Provide informed recommendations for addressing moderately complex legal situations while exercising independent judgment and gaining a deeper understanding of relevant policies and compliance requirements.
  • Deliver information and support to client personnel within the legal domain.
  • Maintain corporate documentation and records in appropriate systems.
  • Coordinate and organize board and shareholder meetings, including the preparation and maintenance of agendas, meeting materials, and minutes; draft resolutions and written consents as needed.
  • Obtain necessary good standing certificates from various jurisdictions.
  • Prepare and file qualifications and withdrawal forms in different states, along with amendments to registration documents.
  • Administer and ensure the accuracy of data in the electronic global entity management system, including the submission of critical legal entity information.
  • Assist with mergers and acquisitions as required.
  • Facilitate the incorporation and organization of new entities, as well as handle dissolutions and liquidations.
  • Manage stock transfers and special projects as assigned.

Required Qualifications:

  • Minimum of 2 years of experience as a Legal Assistant or equivalent experience through work, training, or education.
  • Ability to act as a Responsible Legal Assistant supporting governance and reporting obligations in a dynamic, collaborative environment.
  • Experience with an in-house legal team in a large financial services organization.
  • Familiarity with federal banking regulations and state corporate laws.
  • Strong research capabilities and excellent verbal and written communication skills.
  • High attention to detail, analytical skills, and organizational abilities.
  • Proven ability to manage multiple tasks and prioritize effectively.
  • Capability to work independently with minimal supervision.
