Job Overview

AppleOne is looking for a meticulous and organized Corporate Legal Assistant to provide support for the governance and compliance responsibilities of various legal entities within a vibrant and fast-paced corporate setting. The successful candidate will possess experience collaborating with in-house legal departments, particularly in large financial institutions.


Key Responsibilities:
  • Maintain and update corporate documentation and minute books in both digital and physical formats.
  • Organize and facilitate board and shareholder meetings, including the preparation and management of agendas and meeting minutes.
  • Draft resolutions and written consents for board and shareholder actions.
  • Assist in the submission of annual reports and the acquisition of good standing certificates from multiple jurisdictions.
  • Prepare and file qualifications, withdrawal forms, and amendments for registrations in various states.
  • Manage and ensure the accuracy of data within the Global Entity Management System (GEMS), including the submission of legal entity information forms.
  • Support activities related to mergers and acquisitions, including the formation of new entities, dissolutions, and liquidations.
  • Prepare stock powers and oversee stock transfers.
  • Participate in special projects as required.

Qualifications:
  • Proven experience with in-house legal teams in large financial services organizations.
  • Knowledge of federal banking regulations and state corporate laws.
  • Strong research, analytical, and organizational capabilities.
  • Excellent verbal and written communication skills.
  • Ability to manage multiple priorities and work effectively under deadlines.
  • Capable of working independently with minimal oversight.
