Job Summary

We are seeking an experienced Corporate Paralegal to join our team at a prestigious Am Law 200 law firm. As a key member of our Corporate group, you will assist in all aspects of mergers and acquisitions and corporate governance, working closely with attorneys to draft and review legal documents.

Responsibilities
  • Assist in mergers and acquisitions and corporate governance, including drafting and reviewing legal documents such as bylaws, compliance documentation, entity formation, and organizational documentation.
  • Oversee all governance filings, including corporate resolutions, corporate minute book management, and annual report filings.
  • Maintain and update docket reminders for corporate governance deadlines.
  • Organize closing documents and prepare electronic closing binders.
  • Prepare and file appropriate state tax registrations, elections by a small business corporation, and draft stockholder consents to such election.
  • Work with attorneys as registered agent to draft and complete annual filings on behalf of the client.
  • Draft certificates of limited partnerships or articles of organization, operating agreements for LLCs, partnership and limited liability company annual reports, and other state filings.
  • Prepare and file Uniform Commercial Code (UCC) financing statements, amendments, continuations, and terminations.
  • Prepare and file relevant IRS forms.
  • Serves as a key point of contact for clients and interprets data for clients.
Requirements
  • 5+ years of corporate or business law paralegal experience in a law firm setting is required.
  • Paralegal certificate or degree preferred.
  • Proficiency with Adobe and Microsoft Office suite (Word, Excel, and Outlook) are required.
  • Strong organizational skills, attention to detail, and good judgment.
  • Ability to manage multiple projects with competing deadlines and priorities.
  • Excellent communication skills, both written and verbal.
