Position Overview

The Senior Vice President of Legal Affairs serves as a pivotal member of the Senior Leadership Team at the United Network for Organ Sharing (UNOS). This role is integral in shaping and executing the organization’s strategic vision and operational framework, particularly as it navigates current contracts and explores opportunities for expansion into new markets and services.

Key Responsibilities:

  • Provide comprehensive legal counsel and guidance to executive leadership, ensuring alignment with corporate governance and legal compliance.
  • Act as the Corporate Secretary, overseeing all Board and governance-related matters, and managing the Board Relations team to facilitate effective communication and preparation for Board meetings.
  • Serve as the primary liaison for corporate leadership regarding the establishment and administration of Board committees and related matters.
  • Lead risk management and privacy initiatives, developing strategies around legal entities, contract negotiations, and litigation management.
  • Oversee the development and implementation of policies, managing teams that support this process.
  • Handle all intellectual property matters, engaging external legal expertise as necessary to protect the organization’s interests.
  • Advise on contract compliance, ensuring all obligations are met, particularly concerning federal contracts and agreements with stakeholders.
  • Develop litigation strategies in collaboration with outside counsel when internal capacity is exceeded.
  • Contribute to operational management discussions across various disciplines, providing legal insights and perspectives.

Qualifications:

Applicants should possess a minimum of 15 years of experience in corporate legal administration, with a strong background in government contract principles, either as in-house counsel or as external legal advisors.

Essential Skills:

  • Expertise in Board Relations, Risk Management, Contract Administration, and Strategic Planning.
  • Experience in developing new business models and engaging in public policy initiatives is highly desirable.
  • A proven track record of managing a comprehensive legal team within a corporate setting.

Additional Qualifications:

  • Experience in complex, regulated environments, particularly within the healthcare sector.
  • Strong leadership abilities with a focus on staff development and organizational growth.
  • Exceptional communication skills, both verbal and written, with a demonstrated ability to interact effectively with executive management.

Education:

A Juris Doctor degree from an accredited law school is required, along with membership in a state Bar Association. Preference will be given to candidates with Virginia Bar membership and a business degree.

Physical Requirements:

General office demands apply, with some overnight travel expected.
