Job Description & Qualifications:

This role requires in-office presence, five days a week.

Position Summary:

Core & Main is seeking a corporate legal generalist to enhance our legal department. In this capacity, you will provide counsel and guidance on a diverse range of legal issues affecting our industrial distribution operations, encompassing acquisitions, corporate governance, securities compliance, real estate, and other general corporate matters. This position necessitates a solid understanding of corporate law, risk management, and a collaborative spirit to manage multiple responsibilities, including working alongside various administrative functions within the organization.

Key Responsibilities:

  • Assist in the preparation, review, and submission of specific SEC documents, such as Section 16 filings, proxy statements, and press releases. Support the equity administration process, including managing the designated insider list, reviewing insider 10b5-1 plans, and overseeing open trading window activities.
  • Contribute to company acquisition initiatives as a vital member of the acquisitions team, which includes reviewing and negotiating non-disclosure agreements, coordinating with external transaction counsel, evaluating diligence information, and facilitating post-closing integration of acquisitions.
  • Engage in corporate governance activities, including entity management, drafting and maintaining relevant policies and delegation of authority, and preparing materials for board meetings.
  • Assist with the preparation of the annual proxy and coordination of the annual shareholder meeting.
  • Review, negotiate, and provide advice on real estate transactions, including purchase agreements, leases, estoppels, and subordination agreements.
  • Support the Litigation and Compliance teams as necessary.
  • Review and advise on customer and vendor agreements as required.
  • Assist with compliance initiatives related to import and export transactions, intellectual property, and data privacy.
  • Offer day-to-day legal advice on operational and transactional matters.

Qualifications:

  • J.D. and licensed attorney in good standing in at least one state; must be able to register for in-house practice in the State of Missouri.
  • 4-6+ years of experience in a law firm and/or in-house legal department with a focus on general corporate work, particularly in mergers and acquisitions, transactional work, and public company compliance. Experience in litigation is advantageous.
  • Proven ability to collaborate effectively on cross-functional teams, with other legal team members, and with external counsel.
  • Demonstrated leadership, relationship-building skills, and strong communication and negotiation abilities.
  • Exceptional organizational and project management skills with a keen attention to detail.
  • Strong written and verbal communication skills.
  • Capacity to work independently and manage multiple projects with competing deadlines.

Work Environment:

  • On-site work environment.
  • Minimal overnight travel, less than 10% of the time.
