Key Responsibilities:
- Corporate Governance:
- Facilitate the establishment, maintenance, and dissolution of corporations, partnerships, and limited liability entities.
- Prepare and submit corporate documents, including articles of incorporation, bylaws, and annual filings.
- Keep corporate records and minute books current and accurate.
- Organize and prepare materials for board and shareholder meetings.
- Compliance and Regulatory Oversight:
- Monitor compliance with applicable federal, state, and local laws.
- Conduct legal research and stay informed on changes in corporate legislation.
- Transactional Support:
- Assist in mergers and acquisitions, including conducting due diligence and preparing closing documentation.

- Ensure all contracts comply with legal, regulatory, and organizational policies.
- Collaboration and Communication:
- Work closely with finance, procurement, operations, and other departments to ensure contract terms are understood and followed.
- Provide training and guidance to staff on contract management processes.
- Act as the primary contact for contract-related inquiries.
- Strategic Support:
- Contribute to the organization’s strategic initiatives through effective contract management.
- Analyze contract performance and suggest improvements.

Qualifications:
- Education: Bachelor’s degree in Business Administration, Law, or a related field, or equivalent experience.
- Experience: 7-10 years of experience in corporate law, contract management, and negotiation.
