Key Responsibilities:

  • Corporate Governance:
    • Facilitate the establishment, maintenance, and dissolution of corporations, partnerships, and limited liability entities.
    • Prepare and submit corporate documents, including articles of incorporation, bylaws, and annual filings.
    • Keep corporate records and minute books current and accurate.
    • Organize and prepare materials for board and shareholder meetings.
  • Compliance and Regulatory Oversight:
    • Monitor compliance with applicable federal, state, and local laws.
    • Conduct legal research and stay informed on changes in corporate legislation.
  • Transactional Support:
    • Assist in mergers and acquisitions, including conducting due diligence and preparing closing documentation.
