POSITION SUMMARY

We are seeking a detail-oriented and proactive individual for the role of Client Contracts Counsel. This position presents a unique opportunity to contribute to a firm that values integrity, professionalism, and a commitment to justice. The Client Contracts Counsel will play a crucial role in supporting the Office of General Counsel ("OGC") by managing, reviewing, and advising on client engagement contracts, engagement letters, and firm agreements. This role requires close collaboration with partners, clients, and internal teams to ensure compliance with client contract stipulations. The Counsel will assist attorneys in understanding and fulfilling their compliance obligations, thereby promoting the firm’s operational success.

KEY RESPONSIBILITIES

  • Maintain and organize client and firm engagement documentation, including outside counsel guidelines, requests for proposals (RFPs), and contracts, ensuring easy access to essential materials.
  • Review and assess outside counsel guidelines, RFPs, and contracts to identify necessary modifications that align with client requirements, focusing on provisions related to conflicts of interest, billing practices, confidentiality, and more. Provide strategic guidance to Firm Counsel and partners regarding potential issues and risk mitigation strategies.
  • Contribute to the establishment and enhancement of best practices and procedures related to engagement terms and OGC functions, staying informed about industry trends and technological advancements.
  • Facilitate training sessions and develop educational resources for attorneys and staff to ensure a uniform approach to OGC processes across the firm.
  • Monitor and report on the progress of OGC initiatives, including the resolution of client and firm contracts, tracking deviations, and communicating updates to relevant parties.

ADDITIONAL DUTIES

  • Assist the OGC in advising firm management and attorneys on compliance and risk management issues related to client engagement terms.
  • Respond promptly and professionally to inquiries from various departments and clients.
  • Stay informed about the Rules of Professional Conduct and relevant legal regulations.
  • Identify and implement process improvements within the OGC.
  • Support administrative staff and attorneys in understanding the firm’s conflict and intake procedures.
  • Advise on client contract processes and assist with technology enhancements related to outside counsel guidelines.
