POSITION SUMMARY

We are in search of a detail-oriented and proactive individual to fill the role of Client Contracts Counsel. The Client Contracts Counsel will play a pivotal role in supporting the Office of General Counsel ("OGC") by managing, reviewing, and advising on client engagement contracts, engagement letters, and firm agreements. This role involves close collaboration with partners, clients, and various internal departments to ensure compliance with contract stipulations set forth by our clients. The Counsel will aid attorneys in understanding and fulfilling their compliance obligations, thereby contributing to the firm's overall success and sustainability.

The ideal candidate will possess a self-driven attitude and a collaborative spirit, along with strong communication skills, critical thinking abilities, and sound judgment. They should be capable of proposing innovative solutions for process enhancements and advancing projects independently with minimal supervision.

Key Responsibilities:

  • Maintain, organize, and catalog client and firm engagement terms, including outside counsel guidelines, requests for proposals (RFPs), and relevant contracts, ensuring easy access to these materials.
  • Review and analyze outside counsel guidelines, RFPs, and engagement letters to identify necessary modifications that align the firm's practices with client requirements. This includes a thorough examination of provisions related to conflicts of interest, billing practices, confidentiality, and other critical terms. Based on this analysis, provide guidance to Firm Counsel and partners to address potential issues and recommend risk mitigation strategies.
  • Contribute to the development and implementation of best practices and procedures concerning engagement terms and other essential OGC functions, staying informed on industry trends and technological advancements to enhance the firm's review and compliance processes.
  • Assist in conducting training sessions and creating educational materials for lawyers and staff to ensure a consistent approach across the firm.
  • Monitor and report on the status of OGC processes, including the resolution of client contracts and engagement letters, tracking any deviations, and communicating updates to relevant stakeholders.

Additional Responsibilities:

  • Support the OGC in advising Firm Management and attorneys on compliance and risk management issues related to client engagement terms.
  • Respond promptly and professionally to inquiries from various firm departments and clients.
  • Stay informed about the Rules of Professional Conduct and relevant laws and regulations, including data protection laws.
  • Identify and implement process improvements for the OGC.
  • Assist administrative staff and attorneys in understanding the firm's conflict and intake procedures.
  • Advise Business Intake and Business Services teams on client contract processes as needed.
  • Participate in technology enhancement reviews related to outside counsel guidelines processes, providing recommendations to the OGC and assisting with implementation as appropriate.
