POSITION SUMMARY

Jenner & Block is in search of a detail-oriented and proactive individual for the role of Client Contracts Counsel. The Client Contracts Counsel will be primarily tasked with supporting the Office of General Counsel ("OGC") by managing, reviewing, and advising on client engagement contracts, engagement letters, and firm agreements. This role involves close collaboration with partners, clients, and internal teams to ensure compliance with client contract terms and requirements. The Counsel will assist attorneys in understanding and fulfilling their compliance obligations, thereby promoting the firm's overall success and sustainability.

The ideal candidate will possess a self-driven attitude and a collaborative spirit, along with strong communication, analytical, and decision-making skills. They should be capable of offering innovative solutions for process enhancements and advancing projects independently with minimal supervision.

Key Responsibilities:

  • Maintain, organize, and catalog client and firm engagement terms, including outside counsel guidelines, requests for proposals (RFPs), and relevant contracts, ensuring easy access to these materials.
  • Review and analyze outside counsel guidelines, RFPs, and contracts to identify necessary modifications that align the firm's practices with client requirements. This includes scrutinizing provisions related to conflicts of interest, billing practices, confidentiality, and other critical elements. Provide guidance to Firm Counsel and partners based on your analysis to address potential issues and suggest risk mitigation strategies.
  • Contribute to the formulation and execution of best practices and procedures concerning engagement terms and other essential OGC functions. Stay informed about industry trends and technological advancements to enhance the firm's review, negotiation, and compliance processes.
  • Facilitate training sessions and develop educational resources for lawyers and staff regarding OGC processes to ensure a uniform approach across the firm.
  • Monitor and report on the progress of OGC processes, including the resolution of outside counsel guidelines, RFPs, and contracts, tracking any deviations and communicating updates to relevant stakeholders.

Additional Responsibilities:

  • Assist the OGC in advising firm management and attorneys on compliance, risk management, and other matters related to client engagement terms.
  • Respond promptly and professionally to inquiries from various firm departments and clients.
  • Maintain up-to-date knowledge of the Rules of Professional Conduct, relevant updates, and applicable laws and regulations.
  • Identify, document, and implement process improvements for the OGC.
  • Support administrative staff and attorneys in understanding the firm's conflict and intake procedures.
  • Advise Business Intake and Business Services teams on client contract processes as needed.
  • Participate in the review of technology enhancements related to outside counsel guidelines, providing recommendations to the OGC and assisting with implementation as appropriate.
